About the Role
BHSI has an exciting opportunity to join our growing Transactional Liability team as a Representation and Warranty Insurance Underwriter. The Transactional Liability team provides insurance in connection with Mergers & Acquisitions and other transactions, including Representation and Warranty Insurance (RWI) and Tax Insurance. In this role, the RWI Underwriter will collaborate with our Transactional Liability team to execute Representation and Warranty Insurance coverage across a wide range of industry sectors, including technology, manufacturing, energy, media/entertainment and services industries. This is an exceptional opportunity for law firm associates seeking a more business-focused role with sustainable work-life balance, while maintaining involvement in high-profile M&A transactions. The role offers exposure to a broad cross-section of the M&A market, spanning diverse industries, transaction structures, deal sizes and deal teams.
Responsibilities
- Establish, develop and expand broker, law firm and customer relationships
- Review transaction materials to understand target company profiles and provide preliminary terms
- Underwrite M&A transactions in an expedient and thoughtful manner, focusing on the diligence process and scope of representations
- Engage and manage outside counsel and specialist advisors to assist with underwriting review
- Draft and negotiate RWI insurance policies
- Maintain awareness of the competitive environment in, and the unique risk profile of, the product line
Requirements
- J.D. and between one and five+ years’ M&A legal experience at a reputable law firm strongly preferred; however, candidates with more experience are encouraged to apply
- Prior experience with Representation and Warranty Insurance a plus, but not required
Skills
- Ability to work within a team in a fast-paced environment and act decisively while maintaining underwriting integrity
- Strong analytical and problem-solving skills
- Careful attention to detail
- Strong communication skills, both verbal and written, and desire to build industry relationships
