About the Role
Fragomen is seeking a highly motivated and experienced Senior Legal Counsel to join our globally integrated Office of General Counsel (OGC). This position will provide legal counsel and support to Fragomen’s North American offices and collaborate with OGC colleagues globally. The focus is on corporate transactional matters, including client and vendor contracts, evaluating compliance initiatives, coordinating projects, and developing policies.
Responsibilities
- Drafting, reviewing, and negotiating client and vendor contracts and commercial leases.
- Assisting with the development of strategies for the Firm’s global expansion initiatives, including mergers and acquisitions, and opening new offices.
- Handling complex MSAs, RFPs, and NDAs, and responding to client compliance requests.
- Assisting with third-party due diligence and responding to inquiries regarding contractual/compliance obligations.
- Providing advice on ethical issues, including potential conflicts of interest.
- Attending to key corporate secretarial governance functions.
- Assisting with data privacy issues.
- Working on ad hoc projects, including new office openings.
Requirements
- Law degree and active license to practice law required.
- 6-10 years of experience with high volume international commercial contracts (drafting, reviewing, and negotiating) and transactional M&A work.
- Experience practicing at a large or mid-sized law firm, preferably with a substantial global practice, ideally augmented by in-house experience.
- Entrepreneurial quickness balanced with professional acumen.
- Ability to deal effectively with strategic issues and tactical operational details.
- Familiarity with laws and regulations relevant to client onboarding.
- Excellent time management skills and ability to work in a fast-paced environment balancing multiple time-sensitive matters.
