About the Role
Seeking a Director, Commercial and Corporate Counsel to serve as the go-to resource for all commercial matters, supporting the Company's overall business objectives while minimizing legal risk. This role involves drafting, reviewing, and negotiating commercial contracts, supporting ad-hoc legal requests, and providing strategic advice on applicable laws and regulations.
Responsibilities
- Independently draft, review, and negotiate a wide range of commercial contracts with vendors, customers, consultants, and others.
- Support ad-hoc requests, analysis, and various projects involving corporate governance, employment law, real estate, litigation, brand protection, data privacy, and other matters.
- Provide clear direction to business partners at all levels to drive business objectives while minimizing legal risk.
- Monitor and provide strategic legal advice on applicable laws, regulations, and developments.
- Assist with ensuring compliance with firm's compliance programs and corporate policies, suggesting enhancements.
- Assist in implementing legal process improvements and suggest enhancements.
- Coordinate outside counsel where appropriate.
- Respond promptly and independently to requests for legal review from all departments.
Requirements
- Law degree from a top accredited law school.
- Eligible to practice law in NY.
- Minimum of 8+ years of combined relevant transactional/commercial/corporate experience with a major law firm practice and in-house.
- Previous in-house experience is a must.
- Experience with fashion retail companies strongly preferred.
- Exposure and experience with commercial matters with retail clients is a significant plus.
- Litigation experience is a plus.
- Excellent attention to detail, oral and written communication skills, problem-solving skills, and interpersonal skills.
- Strong work ethic, focus, sound judgment, and discretion.
- Ability to work independently, effectively, and collaboratively across multiple functions and levels.
- Ability to manage multiple projects simultaneously and demonstrate high-quality work in a fast-paced environment.
- High level of personal integrity and adherence to ethical standards.
- Personal interest in fashion is a plus.
