About the Role
Hive is seeking a pragmatic, hands-on Legal Counsel to manage all company legal matters. This in-house role involves direct drafting and negotiation, quick judgment calls, and strategic use of outside counsel. You will cover entity structuring, fundraising, IP strategy, cross-border contracts, and HR legal matters, operating at startup speed to drive business objectives.
Responsibilities
- Manage entity structure and governance across all jurisdictions.
- Own fundraising legal work, including term sheets, SAFEs/convertibles, and share purchase agreements.
- Coordinate diligence and manage relationships with outside counsel and investors' legal teams.
- Maintain corporate records and ensure ongoing compliance obligations are met.
- Draft, review, and negotiate MSAs, DPAs, vendor agreements, and customer contracts, including cross-border deals.
- Build and maintain template contracts and playbooks for business self-service.
- Serve as the primary point of contact for commercial negotiations.
- Own IP strategy and protection, including trademarks, patents, trade secrets, and open-source considerations.
- Engage specialist outside counsel for IP filings and technical work while retaining overall accountability.
- Ensure IP assignment is airtight across employees, contractors, and external development partners.
- Advise product and engineering on IP risk for new features and products.
- Advise on employment law matters across jurisdictions, including contracts, terminations, and disputes.
- Partner with the People function on HR-related legal matters.
- Review and update employment policies, handbooks, and offer templates.
- Manage or support employee relations issues with legal risk.
- Act as the single accountable owner for all legal matters across the company.
- Serve as the internal point of contact for any legal question.
- Own the outside counsel budget and relationships pragmatically.
- Assess and manage legal risk across the business, prioritizing practical solutions.
- Advise leadership on legal implications of new markets, products, or business models.
Requirements
- Qualified lawyer (England & Wales or equivalent) with in-house or relevant private practice experience.
- Direct experience managing legal workstreams for fundraising rounds (priced or SAFE/convertible).
- Understanding of cap table and investor dynamics.
- Comfortable negotiating cross-border commercial contracts and adapting to different legal systems.
- Practical, commercially-minded approach focused on deal completion.
- Exceptional attention to detail.
- Strong risk judgment, balancing legal exposure against business speed.
- Experience advising on employment law matters, ideally across multiple jurisdictions.
- Confident managing outside counsel efficiently.
- Comfortable being a hands-on operator with limited support.
- High judgment and discretion, able to move fast without sacrificing rigor.
