About the Role
500 Global is seeking a General Counsel to serve as the firm’s senior legal officer, responsible for the legal architecture underpinning its most critical decisions. This role is central to governance, regulatory compliance, entity structuring, and capital transactions across a global venture capital platform with $2.1B+ in assets under management and a presence in over 80 countries.
Responsibilities
- Advises the Board, CEO, COO, and shareholders.
- Acts as Secretary of the Board and Audit Committee.
- Serves as the named Compliance Officer for the Americas.
- Sets legal standards, risk thresholds, and templates for the business.
- Ensures alignment with regulatory requirements and business objectives.
- Oversees governance frameworks.
- Maintains the US adviser’s exempt status.
- Manages regulatory obligations.
- Leads compliance programs.
- Directs legal aspects of firm-level transactions.
- Manages outside counsel.
- Develops the legal team.
- Supports executive compensation and entity structuring.
Requirements
- At least 15 years of post-qualification experience.
- Experience combining top-tier law firm practice with senior in-house roles at investment advisers, asset managers, or venture capital/private equity firms.
- Deep expertise in the Investment Advisers Act, Investment Company Act exclusions, Regulation D, and compliance program leadership.
- Proven track record in complex transactions and governance.
