About the Role
Cboe is seeking a Senior Counsel to provide legal and regulatory support to the U.S. Equities, Market Data and Access, and ETP Listings businesses. This role involves reviewing and drafting rules and rule filings, responding to general legal matters related to securities trading, and navigating complex regulatory frameworks in a highly regulated environment.
Responsibilities
- Review and draft rules and rule filings to applicable regulators to explain the purpose and basis of those rules.
- Steer rule changes through internal corporate and external regulators’ review & approval processes.
- Partner with U.S. Equities, Market Data and Access, and ETP Listings business teams to drive growth by providing legal counsel and innovative thinking.
- Keep abreast of new and existing regulations and business initiatives, and provide legal and regulatory advice to applicable businesses.
- Provide legal support for functions relating to compliance with national securities exchange requirements, including membership, services, and products.
- Provide legal guidance relating to regulatory requests, exams, inspections, and/or similar matters involving Cboe’s U.S. equities exchanges.
- Provide legal support to other functions including Compliance, Regulatory, Technology, Operations, Risk, Market Policy & Government Affairs, Billing, and Finance.
- Maintain high standards of legal and regulatory compliance and promote a culture of compliance.
- Respond to general legal matters including those related to securities trading and corporate law issues.
- Review regulatory and informational publications.
- Provide other legal support for company activities.
- Help drive the adoption of AI, automation, and improved workflows across Legal, partnering with teams to modernize core processes, strengthen controls, improve efficiency, and enhance program scalability.
- Help build the team’s capabilities and support leaders in adopting new tools and technology, fostering a culture of continuous improvement, innovation, and responsible use of emerging capabilities.
Requirements
- Minimum of 3-5 years of relevant work experience, preferably at a law firm, other financial services firms, or financial market regulators.
- Strong legal writing and analytical skills, and experience in drafting regulatory filings.
- Working knowledge of fundamental equities market structure terminology and how on-exchange equities trading is conducted.
- Willingness to develop a deeper understanding of equities market structure and applicable legal/regulatory frameworks.
- Basic understanding of market data and access solutions, and ETPs.
- Willingness to develop a fundamental understanding of market data, access solutions, ETPs, and related legal frameworks.
- Self-starter attitude and comfort working independently towards completing assigned tasks, as well as under supervision.
- High-motivated attitude, attention to detail, and ability to proactively organize a heavy workload.
- Excellent analytical abilities.
- Ability to collaborate cross-functionally across businesses, technology, operations, compliance, and regulatory teams, as well as with other legal team members.
- Experience interacting with regulators, or a strong desire to develop skills in this area.
- Proficiency in the use of AI to streamline legal tasks such as summarizing industry rule proposals, comment letters, and regulatory rules, laws, and regulations.
- Licensed to practice law.
- Computer proficiency in Microsoft Office Suite applications including MS Word, PowerPoint, and Excel.
- Must be legally authorized to work in the United States without the need for employer sponsorship now or in the future.
