About the Role
The Zipline Legal Team is searching for an experienced, high-powered, and process-oriented Senior Paralegal to support the corporate legal function. This role involves partnering closely with the Corporate Legal team and cross-functional stakeholders, bringing attention to detail, organizational skills, and a positive attitude. The Senior Paralegal will be a core member of the in-house legal function and report to the Deputy General Counsel, Corporate.
Responsibilities
- Provide project management and support for complex corporate transactions including financing rounds and strategic transactions through due diligence coordination, document management and closing preparations.
- Assist in supporting the equity program and management of equity management platforms (Carta and Shareworks).
- Manage U.S. state and local filings, business licenses, and various business entity documents with governmental agencies.
- Oversee subsidiary management, including entity records, officer and director tracking, organizational charts, annual filings, and related governance documentation.
- Manage and maintain corporate records and databases.
- Work with other members of the Legal team as well as other company functional departments on special projects and initiatives.
- Design, develop, and implement or improve systems and processes to increase efficiency, support scalability, and ensure quality.
- Work to identify, build and maintain scalable corporate operations processes, with emphasis on documentation and audit trails.
- Build strong cross-functional relationships across all levels of the business to influence and inspire other teams.
Requirements
- At least seven years of relevant experience at a top-tier law firm and/or in-house.
- Must be eligible to work in the United States.
- Demonstrates sound judgment in handling complex, multi-jurisdictional corporate work.
- Proactive and pragmatic problem solving - seeing risks and potential issues before they arise and proposing effective solutions.
- Ability to thrive in high-pressure and time-sensitive situations.
- Strong communication and project management skills.
- Effective time management skills that enable you to set aggressive but realistic deadlines that you meet (and usually beat), even with competing priorities.
- Confidence to work independently and judgment to recognize when issues require escalation or input from others.
- A positive attitude and the willingness to collaborate with a broad range of stakeholders.
