About the Role

The Compliance Manager serves as a key resource for Stony Brook University and Stony Brook Foundation (SBF) stakeholders, providing day-to-day leadership for the Foundation's regulatory compliance, insurance and risk management, and contracting processes. This role is responsible for managing multi-state charitable registrations, leading the Foundation's annual insurance renewal and risk management strategy, overseeing contract development and tracking, and maintaining policies and controls to ensure regulatory compliance. The position handles confidential information and requires discretion.

Responsibilities

  • Manage multi-state charitable registrations in partnership with outside legal counsel.
  • Lead the Foundation's annual insurance renewal and risk management strategy.
  • Oversee contract development and tracking.
  • Maintain policies, controls, and monitoring activities for regulatory compliance.
  • Serve as the primary point of contact for the Foundation's insurance broker, negotiating premiums and policy terms.
  • Review and update core coverages, including Directors & Officers (D&O), Employment Practices Liability (EPLI), Cyber Liability, General Liability, and Professional Liability.
  • Identify, assess, and mitigate organizational risk by reviewing operational processes and implementing internal controls.
  • Develop SBF standard templates and review specialized agreements and third-party documents.
  • Ensure contracts include required protections, such as indemnification clauses.
  • Review and manage contracts to ensure compliance with applicable regulations, including those governing the handling of Protected Health Information (PHI).
  • Coordinate review and feedback from internal and external parties.
  • Work with campus departments to keep contracts moving through processing.
  • Build self-service contracting resources for the Foundation's website.
  • Maintain a contract tracker capturing auto-renewal clauses, expiration dates, and other key terms.
  • Create, implement, and continuously update Foundation policies and procedures.
  • Conduct internal audits and monitor operational processes to ensure adherence to applicable laws and regulations.
  • Stay informed about new legislation and regulatory changes within the nonprofit and higher education advancement sector.
  • Work with the Foundation's outside legal firm to manage annual renewals for states requiring charitable solicitation registration.
  • Compile data from the IRS Form 990, audited financial statements, and corporate bylaws to support filings.
  • Monitor filing deadlines across all applicable states to prevent late fees, lapses, or other penalties.
  • Maintain organized records of registration status, renewal dates, and filing history for each state.
  • Investigate reported compliance concerns and conduct related inquiries.
  • Recommend and implement corrective actions.
  • Serve as a point of contact between the Foundation and regulatory bodies.
  • Act as a liaison between departments and senior management regarding compliance matters.
  • Communicate findings, risks, and recommendations.
  • Perform other duties as assigned.

Requirements

  • Bachelor's degree (foreign equivalent or higher).
  • Three (3) years of full-time experience working in compliance, insurance and risk management, contract administration, legal or paralegal support, audit, or a related field.
  • Experience supporting regulatory filings, insurance renewals, and/or contract review.
