About the Role
This role offers an excellent opportunity for a Company Secretary and Head of Governance to join Faraday, reporting to the Head of Compliance. It encompasses company secretarial duties and oversight of regulatory governance, ideal for someone with strong experience seeking hands-on responsibility and a desire to modernize Board governance.
Responsibilities
- Act as Secretary to the Board and Sub Committees for five Faraday UK entities.
- Provide secretarial and governance support for Faraday’s two MGAs.
- Work with senior Faraday and Group stakeholders including Internal and External Auditors.
- Serve as the main point of contact for Non-Executive Directors.
- Liaise with Chairs to arrange meetings and agendas, producing high-quality papers, minutes, and actions.
- Maintain the Board and subcommittee governance framework, including Terms of Reference, Schedules of Delegated authorities, Governance map, and committee structures.
- Support Board effectiveness reviews and director induction programmes.
- Own and maintain the Management Responsibilities Map (MRM) and governance documentation.
- Ensure clear allocation and documentation of regulatory responsibilities.
- Coordinate updates for role changes, restructures, or regulatory developments.
- Liaise with Compliance and HR functions to ensure SMCR requirements are embedded operationally.
- Own Faraday’s policy governance framework, including the annual review process.
- Coordinate regulatory submissions with Compliance and Risk functions, including Lloyd’s Principles Assessment and thematic reviews.
Requirements
- Proven experience as a Company Secretary with the London Market.
- Strong understanding and experience of UK and Lloyd’s regulatory standards and frameworks.
