About the Role

This role is crucial for ensuring Barclays Group's adherence to statutory and regulatory corporate governance requirements and industry standards. You will facilitate communication between the board of directors and key stakeholders for regulated and/or significant Barclays Group legal entities, bringing substantial board governance and legal entity management experience to the oversight of corporate governance activities for Barclays US subsidiaries. You will advise and partner with Board and committee members, senior executives, and other key stakeholders to support effective governance frameworks, sound decision-making, and compliance with regulatory expectations for financial institutions.

Responsibilities

  • Act as Company Secretary to regulated or significant legal entities, including liaison with the Chairman and senior executives, assisting with board succession and board and committee evaluations, agenda preparation, board paper management, attending and minuting board meetings where required.
  • Provide support, advice, and guidance on company law, appropriate regulations, internal policies, and best practices in corporate governance to the Barclays Group and Directors on their fiduciary duties and other legal or regulatory obligations.
  • Create and review corporate governance documents, including charters, terms of reference, matters reserved for the board, policies, and procedures in compliance with legal and regulatory requirements.
  • Maintain compliance with corporate governance requirements, best practices, and industry standards across the Barclays Group governance practices.
  • Assist on project work, including corporate reorganizations, liquidations, mergers, formations, and the signing of subsidiary financial accounts.
  • Maintain the company’s statutory registers, other registers such as conflict of interest registers, and data fields required for adherence to Barclays Group policies and standards.
  • Support stakeholders with their ongoing compliance with the Group Policy on Legal Entities and Directors.
  • Contribute or set strategy, drive requirements, and make recommendations for change.
  • Plan resources, budgets, and policies; manage and maintain policies/processes; deliver continuous improvements and escalate breaches of policies/procedures.
  • Advise key stakeholders, including functional leadership teams and senior management on functional and cross-functional areas of impact and alignment.
  • Manage and mitigate risks through assessment, in support of the control and governance agenda.
  • Demonstrate leadership and accountability for managing risk and strengthening controls in relation to the work your team does.
  • Demonstrate comprehensive understanding of the organization functions to contribute to achieving the goals of the business.
  • Collaborate with other areas of work for business-aligned support to stay updated on business activity and strategies.
  • Create solutions based on sophisticated analytical thought, comparing and selecting complex alternatives.
  • Define problems and develop innovative solutions through in-depth analysis with interpretative thinking.
  • Adopt and include the outcomes of extensive research in problem-solving processes.
  • Seek out, build, and maintain trusting relationships and partnerships with internal and external stakeholders to accomplish key business objectives, using influencing and negotiating skills.
  • Lead the preparation of high-quality Board and committee agendas, papers, and minutes.
  • Ensure governance processes, decision records, and follow-up actions are clear, accurate, and effective.
  • Oversee complex subsidiary structures, maintain corporate records, manage statutory filing obligations, and strengthen the control environment across a complex banking organization.

Requirements

  • Board governance experience, with a demonstrated track record of advising and supporting Boards and committees within a regulated financial services environment.
  • Knowledge of governance frameworks, decision-making protocols, and prudential regulatory requirements.
  • Board and committee operations expertise, including the preparation and quality review of agendas, governance materials, and Board papers.
  • Coordination with senior stakeholders.
  • Drafting clear, accurate, and comprehensive minutes that capture key discussions, decisions, actions, and regulatory considerations.
  • Legal entity management experience, with responsibility for complex subsidiary portfolios, corporate recordkeeping, compliance with legal entity statutory obligations, and legal entity lifecycle events.
  • Senior stakeholder engagement and judgment, with the credibility to work effectively with Board and committee members, senior executives, legal advisers, auditors, and regulators.
  • Ability to provide practical guidance on governance and legal entity matters.
  • Executive-level written and verbal communication skills.
  • Ability to distill complex governance, legal, and regulatory information into concise Board materials, minutes, resolutions, and other corporate records.
  • Risk, controls, and technical capability.
  • Understanding of governance risk and control frameworks.
  • Hands-on experience with governance, legal entity management, or document management platforms like Diligent, Kube, and iManage.
