About the Role
The Director will be a key contributor to Brookfield's growing team, providing legal support to the Capital Solutions Business, general corporate governance, and regulatory matters. The role involves close collaboration with internal teams and external parties.
Responsibilities
- Act as lead attorney supporting Brookfield’s capital solutions business, including advice and negotiation of commitment letters, underwriter agreements, engagement letters, credit agreements, and prospectuses.
- Provide strategic advice and guidance on different types of services.
- Assist with obtaining internal approvals for engagements, including assessing conflicts of interest.
- Provide securities law advice regarding participation as an underwriter in syndicated transactions, including FINRA regulations.
- Work directly on new client engagements, including negotiation of separately managed accounts, asset management transactions, joint ventures, and strategic partnerships.
- Support and collaborate with investment teams, finance, tax, compliance, and operations departments.
- Provide support and collaboration with external managers owned by Brookfield.
- Provide regulatory analysis and advice with respect to the business.
- Collaborate with the compliance team on conflicts of interest, policies, procedures, allocation of investment opportunities, and other regulatory matters.
- Assist with corporate governance functions including internal conflicts resolutions, preparing resolutions, entity management, and maintaining a robust governance framework.
- Provide strategic legal advice on applicable laws, regulations, and developments.
- Review and negotiate agreements including NDAs and service provider agreements.
- Selection and supervision of external counsel.
- Support ad-hoc requests, analysis, and other special duties and projects as assigned.
Requirements
- New York bar admission.
- Minimum of 4 years’ experience at a major law firm and/or investment bank or broker dealer focusing on syndicated securities transactions and/or structured finance.
- Familiarity with 144a and 4(a)(2) transactions is preferred.
- Strong working knowledge of U.S. securities laws and SEC and FINRA regulations.
- Familiarity with investment management industry and separately managed accounts is a plus.
- Strong communication skills with the ability to present clearly and offer practical advice.
- Self-motivated and proactive with the ability to operate independently.
- Team-oriented with a commitment to shared success.
