About the Role
Cooley is seeking a Paralegal to join the General Corporate team, assisting lawyers in all stages of corporate transactions and ensuring compliance with business regulations.
Responsibilities
- Provide paralegal support to partners, associates, and other professional staff.
- Conduct factual research, analyze documents, and prepare detailed corporate profiles.
- Perform legal and non-legal research using various tools.
- Advise UK corporate entities on Companies House forms and filings.
- Assist with the formation and dissolution of corporate entities.
- Assist with private placements.
- Prepare and proofread legal documents for accuracy and consistency.
- Provide support with virtual data rooms, including supervision.
- Assist with due diligence, including document review, analysis, and report drafting.
- Assist with the disclosure process, including document review and preparation of disclosure bundles.
- Provide company secretarial support, including Companies House searches and drafting board minutes.
- Assist at signing and completion meetings, coordinate closing documents, and prepare conditions precedents.
- Organize and update precedent and transaction bibles/sets, and create electronic bibles.
- Collate and organize closing sets.
- Liaise with outside agencies, including organizing notaries and service of process.
- Seek to improve workflow and maintain department files.
Requirements
- University degree or equivalent.
- Relevant corporate transactional experience.
- Working knowledge of MS Office packages.
- Ability to navigate various electronic databases.
- Strong research skills and proficiency in using various research tools, including Westlaw UK, Lexis Library and Practical Law.
- Ability to work overtime and travel as required.
- Flexibility to adjust hours to meet operating needs.
- Legal billing experience and knowledge of Intapp Time (DTE) desirable.
- Ability to work independently and as part of a team in a fast-paced environment.
- Ability to organize and prioritize work assignments.
- Possess excellent written, communication and proofreading skills with strong attention to detail.
- Ability to function in a professional and polite manner.
- Proactive, reliable, committed, punctual, motivated, and enthusiastic.
