About the Role
As a Contract Solutions Lawyer on the Carta Law team, you will manage the full lifecycle of commercial contracts for clients, serving as the direct day-to-day contact for sophisticated investment fund and asset manager clients. You will work alongside fellow lawyers and paralegals, delivering high volumes of pre-M&A contract work at speed, supported by AI-backed tools.
Responsibilities
- Independently negotiate and execute high volumes of pre-M&A contracts — NDAs, NRLs, joinders, and engagement letters — liaising directly with counterparties against agreed SLAs.
- Serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, building trusted advisor relationships.
- Maintain and evolve client-specific contract playbooks, ensuring consistency and quality across every negotiation.
- Mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
- Use and continuously improve Carta's legal technology suite, identifying ways to innovate using AI-backed tools.
- Manage the full contract lifecycle for each matter, from first review through execution and system logging.
Requirements
- Law Degree and licensed to practice in any APAC jurisdictions, the UK, US, or Canada.
- 5+ PQE.
- Independently negotiated pre-M&A contracts like NDAs, NRLs, joinders, and engagement letters in a financial services legal environment.
- Build lasting relationships with sophisticated investment fund and asset manager clients and communicate legal advice crisply.
- Balance legal risk against business objectives and flag issues before they escalate.
- Mentor junior lawyers and paralegals and take ownership of your work in a fast-paced environment.
- Proficient with AI-backed contract review tools and look for ways to improve them.
- Able to review and negotiate in Japanese, Korean or Mandarin.
