About the Role

KPMG is seeking a Tax Intern to join their Mergers & Acquisitions Tax practice. This role offers the opportunity to become an integral part of a dynamic team at a leading tax firm, working in a collaborative, future-forward culture. You will gain experience through multifaceted engagements, formal training, and informal mentoring, contributing to innovative tax solutions for high-profile clients.

Responsibilities

  • Assist with structuring the tax aspects of domestic and multinational private equity and strategic mergers, acquisitions, joint ventures, dispositions and IPOs.
  • Draft tax opinions, memos, structure decks, and Excel models illustrating tax benefits of alternative structures.
  • Perform tax due diligence to identify tax exposures and opportunities.
  • Support the team with sell-side tax advisory services, including advising sellers on tax-efficient transaction structures and modeling costs and benefits.
  • Support the team with bankruptcy and restructuring advisory services, providing tax advice on debt and equity restructurings to preserve the value of tax attributes.
  • Compute tax attributes, including earnings and profits, tax basis in stock of consolidated subsidiaries, and limitations under section 382.
  • Prepare complex tax models illustrating multinational entities' projected tax rates and cash tax expense.
  • Build capabilities in key technologies for client service delivery, such as AI, Alteryx, and Power BI.

Requirements

  • Must be enrolled in an accredited college or university pursuing a JD and/or LLM in Taxation, or equivalent program.
  • Upon completion of this internship, candidates must have additional academic credits to complete before obtaining their degree and/or CPA eligibility requirements.
  • Preferred GPA of 3.0 or above.
  • Coursework or minor in information systems, software engineering, computer science or data and analytics preferred.
  • Knowledge of a broad range of corporate, partnership and international tax law, with interest in mergers, acquisitions and other transactional work.
  • Strong technical, business acumen, critical thinking, and agility skills.
  • Demonstrated ability to excel and drive strategic outcomes.
  • Professional demeanor and a collaborative leadership approach in a dynamic, evolving environment.
  • Demonstrated quality service mindset.
  • Strong technical aptitude.
  • Ability to learn and navigate technologies such as AI, Alteryx, Power BI, and MS Office Applications (Excel, PowerPoint, Word, Outlook).
  • Ability to apply emerging technologies to enhance tax processes and insights.
  • Excellent communication, time management, and leadership skills.
  • Feedback oriented and resourceful in delivering high-quality work.
  • Must reside within a reasonably commutable distance to the office.
  • Able to travel to reasonably commutable work locations using own means of transportation.
  • Ability to travel and/or work on-site at client premises as needed, at times with relatively short notice.
  • Must be authorized to work in the U.S. without the need for employment-based visa sponsorship now or in the future.
  • Criminal history may have a direct, adverse, and negative relationship with some of the material job duties of this position.
