About the Role

Plaid is seeking a corporate generalist for its Business Legal team to manage all areas of corporate law and governance, including board support, transactions, entity management, and regulatory compliance. The role requires providing practical advice and collaborating with cross-functional teams.

Responsibilities

  • Support the company’s corporate governance framework and Board of Directors activities, including preparing board and committee meeting materials and maintaining corporate records.
  • Organize documentation for board meetings and implement governance practices for a late-stage private company.
  • Assist in preparing for a potential initial public offering and collaborate with internal teams and external counsel.
  • Ensure compliance with applicable securities laws and SEC regulations, and help establish corporate governance structures for a public company.
  • Assist in preparation and review of periodic SEC filings, compliance with SEC and exchange rules, and quarterly earnings materials post-IPO.
  • Provide legal support for strategic corporate transactions and financing events.
  • Assist with due diligence efforts, drafting of transaction documents, and coordination of deal closings.
  • Manage the company’s subsidiaries and affiliated entities, including coordinating formation and dissolution of entities.
  • Support changes in corporate structure.
  • Monitor evolving corporate and securities laws and advise on potential impacts to the company.
  • Develop, implement, and maintain internal corporate policies and governance programs.
  • Work closely with cross-functional teams (e.g. Finance, HR/People, Stock Administration, and Compliance) to address legal needs and support company initiatives.
  • Undertake special projects and ad hoc legal tasks as needed.

Requirements

  • 4+ years of relevant experience at a law firm or in-house counsel
  • Strong interest in fintech
  • US Bar admission in at least one state
  • Strong communication (both written and verbal) skills
  • Excellent legal and business judgment
  • Experience working with senior management
  • Ability to work well with various teams in a fast-paced environment
  • Comfortable with a daily high volume of tasks and projects
  • Ability to quickly shift priorities as needed
  • Humble, proactive, resourceful, highly organized, with great attention to detail
  • Strong ability to execute
  • Flexibility to handle a variety of projects
