About the Role

The Senior Corporate Governance Officer will support the team responsible for delivering Company Secretarial and Registered Office Services to clients in Ireland, UK, and Luxembourg, acting as a senior client contact.

Responsibilities

  • Support and mentor a team of corporate secretaries and minute takers to deliver high-quality company secretarial services.
  • Manage a portfolio of boards and clients as the lead point of contact, responsible for service delivery.
  • Track events for invoicing, manage the invoicing process, and ensure fee collection.
  • Lead the client onboarding and review process.
  • Assist in developing the company's culture, product offering, and corporate governance.
  • Critically review processes and identify opportunities for improvement, focusing on standardization, automation, and risk reduction.
  • Oversee and deliver Company Secretarial and Registered Office Services in a team environment on a timely basis, meeting client commitments/SLAs.
  • Act as a key point of contact with clients, boards, administrators, regulators, counsel, and other third parties.
  • Support clients and boards with best corporate governance practices.
  • Organize and attend Board, Shareholder, and Committee meetings for a diverse client portfolio.
  • Take and/or review meeting minutes and resolutions.
  • Facilitate and project manage transactions.
  • Travel to board meetings.
  • Support company incorporations.
  • Prepare and submit filings with the regulator and CRO.
  • Maintain corporate records and statutory registers.
  • Present a professional image aligned with the company culture: enthusiastic, upbeat, and engaging.

Requirements

  • Bachelor’s degree or higher.
  • Over 4 years of relevant experience, including supporting various fund structures.
  • Interest in staying updated with the latest trends in governance practice.
  • Hold or be studying towards a relevant Company Secretarial/Corporate Governance qualification (e.g., The Chartered Governance Institute UK & Ireland), or be willing to study with financial support.
  • Passionate about the field, understanding the importance of corporate governance, and excited about delivering a great product.
  • Entrepreneurial mindset with a sense of ownership.
