About the Role
Provide primary legal support to businesses involved in various commercial real estate-backed transactions, including CMBS issuance and underwriting, CRE mortgage loan origination, CRE whole loan repo financing and CMBS securities trading. Advise on offering materials, underwriting/purchase agreements, warehouse repurchase agreements, engagement letters, legal opinions and confidentiality agreements. Advise transaction committees and work with business personnel across Securitized Products within the Investment Bank. Advise on regulatory developments and legal issues relating to securitization/structured finance.
Responsibilities
- Develop and implement best practice legal strategies for compliance with laws, rules, and regulations.
- Provide legal advice and support to business units in the Markets division.
- Offer subject matter support in legal proceedings related to Markets business units.
- Create and review legal documents for compliance and maintain template documentation.
- Conduct legal research and analysis on changes in laws, rules, and regulations.
- Develop and deliver training programs on legal and regulatory requirements.
- Pro-actively identify, communicate, and advise on applicable laws, rules, and regulations.
- Ensure laws, rules, and regulations are allocated to and reflected within policies, standards, and controls.
- Contribute to strategy, drive requirements, and make recommendations for change.
- Plan resources, budgets, and policies; manage and maintain policies/processes; deliver continuous improvements.
- Advise key stakeholders on functional and cross-functional areas of impact and alignment.
- Manage and mitigate risks through assessment.
- Demonstrate leadership and accountability for managing risk and strengthening controls.

- Coordinate regularly with Risk and Compliance departments.
