About the Role
Squadron Energy is seeking an Assistant Company Secretary to support the Company Secretary and provide comprehensive company secretarial services to the Squadron Energy group. This role is crucial for maintaining good corporate governance and ensuring the success of the group's companies.
Responsibilities
- Coordinate and facilitate Board and Board committee meetings, including preparing agendas, ensuring papers are prepared on time, uploading documents for the Board, drafting resolutions for review by the Company Secretary, preparing draft meeting minutes and preparing and then tracking follow up actions.
- Maintain the Board calendar and workplan and manage meeting logistics and assist with logistics for Board site visits.
- Maintain statutory registers and ensure timely regulatory filings (including ASIC lodgements and annual company returns) for the Squadron Energy group of companies.
- Ensure compliance with the Corporations Act and other relevant legislation so far as it applies to company secretarial and corporate governance.
- Review and update Board and Committee Charters and other key governance policies in consultation with the Corporate Risk & Compliance team, directors and committee members.
- Manage document execution process for Board matters and maintain accurate corporate records.
- Support the incorporation of entities within the Squadron group and manage the corporate organisation chart (and assist with KYC queries within the group by our external parties and by banks).
- Assist with director induction processes, liaise with the CEO and directors as needed around Board requirements.
- Manage appointment, resignation, and other matters related to officers of the Group.
- Provide advice and expertise for the continuous improvement and compliance on corporate governance matters for the Squadron Energy group.
- Contribute as a key member of the Company Secretarial team and to the Legal & Risk team.
Requirements
- Proven governance experience: a minimum 8 years in company secretarial support or similar role.
- Strong knowledge of the Corporations Act 2001 (Cth), ASIC regulatory requirements and corporate governance principles.
- Experience working with and in complex corporate and executive environments, preferably in a publicly listed organisation (i.e. ASX 200).
- Proven experience in supporting C-suite executives and senior leadership groups.
- Appointment to this position will be subject to reference checks, a National Police Check and other applicable background screening if required.

- Excellent communication skills and attention to detail with the ability to convey complex information clearly and effectively.
- Discretion and integrity in handling confidential and sensitive information.
- Proven ability to work with all levels of management along with the ability to establish positive relationships to ensure effective information flow between board and board committee members and senior management.
- Previous experience with CAS360 and Board paper portals (eg. Diligent Boards) (or with iManage or similar document management systems).
- Governance Institute of Australia (or similar) qualification or experience with a listed company.
- Tertiary qualifications in Law, Commerce or other relevant tertiary qualification.
