About the Role
Zello is seeking a Contracts Manager to own the customer and vendor contracting lifecycle end-to-end. This role also supports Zello's governance, risk, and compliance program, requiring structure, discipline, and a clean paper trail. No GRC background is required as training will be provided.
Responsibilities
- Own the customer contract lifecycle: review, redline, and negotiate NDAs, MSAs, DPAs, AI data-processing addendums, BAAs, amendments, and security exhibits from first draft to signature.
- Decide when an issue is genuinely novel enough to loop in outside counsel and handle everything else independently.
- Build the contracting infrastructure: playbooks, fallback positions, template libraries, and the escalation bar.
- Own the vendor lifecycle: intake, due diligence, tiering, approval, renewal, and termination.
- Run data subject requests (e.g., GDPR) and subpoena/legal-request intake end-to-end.
- Track contractual notification commitments tied to Zello products and AI data changes to support compliance.
- Support the administration of Zello's compliance stack (Drata, KnowBe4).
- Manage the policy lifecycle (drafting, review cadence, attestation) and periodic access reviews.
- Utilize AI for repetitive tasks such as first-pass review, questionnaire drafting, clause comparison, and obligation tracking, continuously improving AI usage.
Requirements
- 3+ years of experience owning commercial contracts in-house.
- Independently redlined and closed NDAs, DPAs, and MSAs without direct attorney supervision.
- Highly organized with meticulous tracking of open redlines, obligations, and renewal dates.
- Detail-oriented with a proactive approach to identifying and resolving discrepancies.
- Experience or strong interest in using AI in work processes.
- Ability to spot and fix manual or error-prone processes, such as building clause libraries.
- Clear and concise communication skills with Sales, Customer Success, Engineering, and outside counsel.
- No JD or bar admission required; this is not an attorney role.
- No direct reports; this is not a management role.
- Not a GRC or security engineering role; focus is on operational rigor of the compliance program.
- Not a redline-only role; includes vendor management and compliance program operational cadence.
