About the Role

Eversource Energy, a Fortune 500 diversified electric and natural gas utility company, seeks to hire a full-time attorney with 10+ years of corporate and securities law experience. The ideal candidate will advise senior leadership on complex disclosure and governance matters, supporting the company's commitment to a clean energy future.

Responsibilities

  • Serve as principal counsel providing legal guidance to specific Eversource Energy business segments.
  • Provide strategy development and direct the development of legal plans for state and federal jurisdictions.
  • Lead or play a key role in drafting and advising on filings with the Securities and Exchange Commission, including ’34 Act periodic reports, ’33 Act registration statements, proxy statements, and Section 16 filings.
  • Ensure compliance with SEC and NYSE rules and regulations.
  • Support and enhance disclosure controls and procedures and coordinate cross-functional disclosure processes.
  • Advise senior management and executive leadership on disclosure and governance matters.
  • Coordinate the review of earnings and other press releases, presentations, significant internal communications and other announcements.
  • Advise the Treasury department on capital markets transactions, including debt and equity offerings, private placements, credit facilities, and loan agreements.
  • Advise on and manage the preparation of Section 16 and Rule 144 filings.
  • Advise directors and executive officers on insider trading policy and Rule 10b5-1 plans.
  • Advise on and support general corporate and commercial matters, including reviewing and negotiating contracts.
  • Support business transactions, including mergers and acquisitions, asset and stock purchases, and joint venture arrangements.
  • Provide support on matters relating to the board of directors and senior management, including annual meetings, corporate governance, and legal entity management.
  • Provide legal counsel on a diverse range of matters related to day-to-day operations, including investor relations, finance, treasury, internal audit, and compliance.
  • Develop and implement policies and procedures and training initiatives.
  • Maintain knowledge of industry trends, management practices, and industry-related legislation.
  • Foster a productive, engaging, and inclusive work environment.
  • Promote a positive, cooperative, and efficient work atmosphere.
  • Develop and pursue a succession plan for all areas under sphere of control.
  • Coordinate succession plan with Human Resources, Senior Management, and other Eversource Energy business groups.
  • Guide direct reports when challenging situations are encountered.
  • Build and maintain strong relationships and communications within the Senior Leadership team.
  • Keep Senior Management informed of issues, impediments, and progress.
  • Model standards of excellence and the values of Eversource Energy.
  • Identify and address obstacles to goal attainment and emerging issues.
  • Continually communicate corporate strategy, direction, and initiatives to staff.
  • Be available to work emergency restoration assignments as required.
  • Be available to travel between MA/CT/NH as necessary.

Requirements

  • 10+ years of corporate and securities law experience.
  • Substantial hands-on experience advising public companies on SEC reporting and disclosure obligations.
  • Detail-oriented and business-minded.
  • Comfortable advising senior leadership on complex disclosure and governance matters.
  • Ability to use PC desktop applications (e.g., Microsoft Word, Excel, Email).
  • Requires complex organizational and analytical skills.
  • Must be a good team player, well organized, and able to identify business-oriented solutions to complex legal problems.
  • Admission in good standing to the Massachusetts; Connecticut; and/or New Hampshire Bar and Federal Bars preferred.
  • Candidates admitted to practice in another state and in good standing will be considered but will be required to gain admission to the appropriate state Bar within one year.
  • Must be available to work emergency restoration assignment as required.
  • Must be available to travel between MA/CT/NH as necessary.
  • Work is performed primarily in an office environment with occasional time spent in field and in court or before administrative agencies, as necessary.
  • Work includes periodic involvement in time-sensitive projects having a potentially significant impact on Eversource success.
  • Often involved in adversarial/confrontational situations.
  • Works in an environment that often requires the performance of multiple simultaneous activities, where deadlines need to be met and work is performed under pressure while involving significant business commitments and results.
