About the Role

The Senior Business Affairs Specialist will support Take-Two and its publishing labels in New York City, focusing on contract management. This role requires critical thinking, strong business acumen, organization, and the ability to handle complex tasks like drafting and reviewing legal agreements and creating contractual databases. The position offers broad exposure to Take-Two's activities and a collaborative environment.

Responsibilities

  • Prepare agreements based on contract templates and manage the contracting process from request to execution.
  • Draft, review, negotiate, and advise on various transactions, understanding software, technology, entertainment, sports, privacy, and marketing issues.
  • Act as a liaison between business clients, procurement, internal stakeholders, and Legal for end-to-end contract lifecycle management.
  • Handle services agreements, statements of work, vendor agreements, talent agreements, influencer agreements, and licenses, outlining deliverables, staffing plans, and key provisions.
  • Drive the implementation, maintenance, and use of contract management systems and related processes.
  • Participate in the planning, selection, implementation, and training of key technology resources for the Business Affairs team, including system enhancements and upgrades.
  • Troubleshoot issues with internal technology teams and vendors, and champion the use of contract management systems.
  • Manage contract templates, playbooks, and clause libraries using contract management systems and AI tools.
  • Provide support to Business Affairs attorneys on matters related to game development, production, marketing, distribution, licensing, and corporate issues.
  • Prepare contract summaries and internal reports.
  • Counsel in-house business teams on the contracting process and keep them informed.
  • Plan and implement initiatives to build databases of contractual terms for a data-driven approach to contract management and strategic decision-making.
  • Analyze deals within a matrix of third-party rights, including those held by content distributors, hardware manufacturers, sports leagues, record labels, music publishers, actors, talent, technology licensors, software developers, entertainment companies, advertising agencies, merchandise vendors, data analytics providers, and IT vendors.

Requirements

  • College degree.
  • Strong academic background and excellent critical thinking skills.
  • Six or more years of experience as a contracts manager, paralegal, or similar role focused on drafting and reviewing legal agreements.
  • Ability to work with contract management software, such as Ironclad or similar systems.
  • Tech-savvy with a grasp of AI legal offerings or a proven ability to quickly learn new software applications, including AI software such as Gemini, Harvey, and similar tools.
  • Demonstrated ability to handle progressively more complex contract drafting and similar tasks with commensurate business judgment.
  • High energy, positive attitude, and urgency to get things done.
  • Common sense, patience, good humor, and a commitment to teamwork.
  • Strong administrative problem-solving skills and time management skills.
  • Excellent attention to detail, strong written and verbal communication skills, and thorough follow-up.
  • Takes ownership of projects, shows initiative and commitment to drive matters to completion.
  • Team-player who can multi-task and work well under pressure with constantly changing priorities.
  • Professionally interface with all levels of the organization, clients, and vendors.
