About the Role
Catalyst Capital is building a diversified financial services group and seeks a finance leader to maximize the group's valuation and prepare it for market. This role is crucial for bridging the valuation gap between individual business units and the overall group, ensuring institutional-grade financials, and driving strategic capital events.
Responsibilities
- Build the sum-of-the-parts valuation framework across every business unit.
- Structure each entity to maximize its multiple and the group's overall value.
- Transition the group's financials from founder-run to institutional-grade.
- Proactively take the group to market to incorporate buyer feedback into operational changes.
- Develop the group's equity story and materials for institutional buyers.
- Design the group-level employee incentive architecture.
- Establish the regulated fund and its supporting investor infrastructure.
- Protect and improve the economics of the cash engine.
- Own the sum-of-the-parts valuation model, including methodology, comparables, and assumptions.
- Identify and drive levers to increase group enterprise value.
- Prepare the group for institutional readiness with clean financials and a populated data room.
- Develop the group equity story, information memorandum, and management presentation.
- Manage the capital event process, including buyer engagement and diligence.
- Design the holding company structure and jurisdiction strategy.
- Select and implement the group ERP and consolidation platform.
- Build shared services where they create synergy value.
- Set intercompany and transfer pricing policy across jurisdictions.
- Produce unit-level P&Ls that roll up cleanly.
- Own the framework for capital allocation across different business types.
- Allocate capital across assets with varying return profiles and risk characteristics.
- Own group headcount and cost strategy.
- Own direct-response marketing economics, including CAC, LTV, ROAS, and CPQC.
- Manage the front-end versus back-end monetization model and payment plan collections.
- Improve pricing and offer-ladder economics.
- Model and forecast cohort behavior, renewals, churn, refunds, and defaults.
- Set media spend guardrails to maintain liquidity.
- Lead jurisdiction and structure selection for the investment fund.
- Establish the fund's operating infrastructure, including administration and NAV calculation.
- Build investor reporting infrastructure.
- Oversee regulatory compliance across the group, including UAE, FTC, and securities regulations.
- Own rolling cash forecasts at entity and group levels.
- Optimize working capital, including processor reserves and receivable ageing.
- Manage banking, merchant accounts, and payment processors.
- Set treasury policy for digital asset exposure.
- Own the relationship with and budget for external counsel, auditors, and advisers.
- Manage the corporate calendar, ensuring all filings and renewals are met.
- Oversee commercial terms on major agreements.
- Coordinate legal drafting with external counsel.
Requirements
- 10-20 years in finance, including 3+ years as CFO, Group CFO, or VP Finance with full P&L and balance sheet accountability.
- Direct, hands-on experience in a sell-side or minority sale transaction process.
- Multi-entity holdco or portfolio experience managing finance across several unlike businesses.
- Sum-of-the-parts valuation expertise across different business types (software, publishing, services, investment).
- Experience with performance marketing economics (CAC, LTV, payback).
- Multi-jurisdiction experience with consolidation, ideally including the UAE, US, and Europe.
- Experience managing relationships with external counsel, auditors, and transaction advisers.
- Proficiency in both IFRS and US GAAP.
- Demonstrable use of AI tools in finance work.
- Financial services experience across publishing, education, software, wealth management, or fund management is preferred.
- Experience structuring or operating an investment fund is preferred.
- PE-backed or PE operating experience is preferred.
- Crypto and digital asset exposure is preferred.
- Depth in subscription accounting and deferred revenue across various product types is preferred.
- Must not have a career solely in large corporate environments without high-growth or PE exposure.
- Must have been close to a transaction and not be learning the process on the company's timeline.
- Must have treated paid acquisition as a strategic cost lever.
- Must be able to add value within six months.
- Must be comfortable in ambiguity and entrepreneurial.
- Must have zero tolerance for sloppy reporting.
- Must possess a builder mentality.
- Must be a direct communicator who challenges founders with data.
- Must be credible with both PE partners and media buyers.
- Must not prefer slow-moving, consensus-heavy environments.
- Must not fold when a founder pushes back.
- Must be willing to coordinate legal, regulatory, and corporate affairs.
- Must be willing to build the architecture before building a large team.
- Must be actively using AI tools in work today.
