Responsibilities

  • Manage day-to-day company secretarial operations for client structures, acting autonomously when appropriate.
  • Oversee company secretarial transactions, including preparation and review of corporate approvals and filings.
  • Prepare for and participate in board and shareholders' meetings, ensuring timely minute turnaround.
  • Build robust relationships and serve as a key liaison for client matters, including with fund managers, tax specialists, lawyers, and notaries.
  • Maintain statutory records for entities and ensure compliance with annual and ad-hoc filing requirements.
  • Work on the setup and/or onboarding of client structures and administer complex international structures.
  • Assist with the preparation, collation, and ongoing monitoring of Know Your Customer/Client Due Diligence and promoter/corporate files.
  • Proactively arrange regular reviews of entity records.
  • Interact with clients, board members, and third-party intermediaries such as banks, lawyers, accountants, and tax advisors.
  • Monitor changes in relevant legislation and regulatory environments and take appropriate action.
  • Participate in the billing process and cash collection.
  • Coordinate the onboarding of new structures, client KYC, and compliance-related tasks.
  • Supervise junior employees, including sharing expertise, ensuring work quality, and mentoring.
  • Stay updated on relevant industry and regulatory changes.

Requirements

  • Hold a university degree and/or relevant professional qualification (Chartered Governance Institute or equivalent) or be working towards one.
  • Possess 3 or more years of relevant experience in company secretarial and managing corporate structures, preferably in corporate services providers.
  • Prior Blueprint (Diligent) experience is a strong asset.
  • Have good knowledge of compliance requirements and AML regulations.
  • Possess team spirit, the capacity to build strong client relationships, and take initiative.
  • Adopt a flexible and hands-on approach.
  • Be organized with an eye for detail.
  • Ability to prioritize and handle multiple projects simultaneously is essential.
  • Possess good communication skills and the ability to deal with people at all levels.
  • Ability to act with increased accountability, demonstrating strong ownership, flexibility in managing priorities, and adherence to processes, procedures, and regulatory requirements.
  • Experience in effectively coaching and supporting junior employees.
