About the Role
Orrick is seeking a Corporate Paralegal to support the delivery of quality legal services to clients by performing technical tasks that require accuracy, attention to detail, strong organizational skills, strong written and oral communication skills, and computer proficiency.
Responsibilities
- Manage complex projects independently under limited supervision
- Maintain confidential client information and improve workflow regarding storage and recall of materials
- Oversee IPO transaction tasks, including drafting checklists, attending due diligence meetings, proofreading legal documents, and coordinating site visits
- Create and proofread agreements for content, accuracy, and format
- Prepare deal documents, including disclosures, exhibits, SEC filings, questionnaires, financing statements, CUSIP number applications, purchase agreements, and merger agreements
- Provide pre-closing, closing, and post-closing assistance
- Conduct non-legal and legal research and perform due diligence
- Prepare correspondence, audit letter responses, working group lists, and closing checklists
Requirements
- A bachelor’s degree is required
- 2+ years of Corporate Paralegal experience
- Microsoft Office proficiency (Outlook, Excel, PowerPoint)
- Strong research skills utilizing legal research software (Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc.)
- Great communication skills, written and verbal
- Strong organizational and time management skills to handle multiple projects and deadlines
- Understanding of corporate and securities law, including SEC regulations
- Ability to conduct thorough legal and factual research
- Ability to work accurately and meticulously, ensuring the accuracy of documents and filings
- In California offices, paralegals must meet the qualifications, including compliance with continuing education requirements, as set forth in the California Business and Professions Code, Section 6450 et seq.

- Up to 5 Years of Experience: $60,000 - $100,000
- 5+ Years of Experience: $90,000 - $150,000
