About the Role
Hyperlayer is seeking an experienced, commercially minded Head of Legal to establish and manage the company's legal function. This broad, hands-on role involves managing software licensing, client contracts, corporate matters, and vendor agreements, with a focus on minimizing reliance on external counsel and leveraging AI tools for efficiency. The position is an individual contributor role initially, with potential for team growth.
Responsibilities
- Own the drafting, negotiation, and execution of client contracts, with a focus on software licensing for financial institutions.
- Serve as the primary legal contact for commercial negotiations with Tier 1 and Tier 2 financial institution clients.
- Develop and maintain template agreements, playbooks, and fallback positions to expedite contracting.
- Advise on corporate structure, governance, and entity management.
- Lead legal aspects of equity financing, including due diligence, transaction documentation, and investor negotiations.
- Support leadership on corporate reorganizations and strategic transactions.
- Review and negotiate vendor, supplier, and partner agreements.
- Establish a consistent approach to vendor contracting with standard terms and an approval process.
- Provide input on employment contracts, policies, and people-related matters.
- Act as a general legal advisor, addressing day-to-day queries and triaging specialist needs.
- Design and implement legal processes, systems, and governance for scaling, including contract lifecycle management and document storage.
- Identify and implement AI tools to streamline legal workflows and improve turnaround times.
- Build out the legal function over time, starting with administrative support and progressing to hiring additional headcount.
Requirements
- Solicitor or equivalent UK legal qualification (PQE 6+ years).
- Significant in-house counsel experience.
- Strong software licensing experience, preferably with financial institutions or regulated enterprise customers.
- Experience with both UK and US law and jurisdictions; EU and/or APAC exposure is a plus.
- Generalist track record spanning commercial/client contracts, corporate law (including equity financing), and vendor contracts.
- Comfort providing input on employment matters.
- Proven track record of building legal processes, systems, or ways of working in a scaling business.
- Hands-on experience using AI tools to improve legal efficiency.
- Comfort operating as a sole legal function and escalating to external counsel only when necessary.
- Sound commercial judgment and clear communication of legal risk to non-legal audiences.
- Existing non-sponsored right to work in the UK.
