About the Role
The Senior Legal Counsel is the primary contact for colleagues developing and advising on new legal arrangements and documenting health partnerships and fundraising activities. This role provides legal advice and guidance for the Foundation’s innovative, impact-led programmes and activities, supporting the fundraising team, fundraising compliance manager, and work with Guy’s and St Thomas’ NHS Foundation Trust. The role also assists with internal governance and compliance matters.
Responsibilities
- Identify legal and compliance considerations for projects and activities within the IoUH team and implement appropriate mechanisms or policies.
- Structure, draft, and negotiate agreements for charitable partnerships, including commercial contracts, grants, IP licences, investment models, revenue-sharing, and data agreements.
- Advise on the structuring, legal risks, and strategic implications of partnerships and future opportunities.
- Maintain and file correspondence and documentation for commercial contracts.
- Advise on legal and regulatory considerations for fundraising activities and ensure compliance.
- Draft and negotiate fundraising agreements, including charity of the year, commercial participation, sponsorship, and pledge agreements.
- Advise on governance matters related to fundraising activities.
- Ensure data protection aspects of fundraising activities are managed appropriately.
- Draft, maintain, and update internal guidelines, policies, and standard-form documents.
- Create policy and process efficiencies.
- Act as deputy data protection lead, providing training and ensuring compliance with mandated practice.
- Consider legal considerations and processes for working with specific partners, including advising on due diligence and tailoring templates.
- Advise on legal considerations, processes, and risks for working with specific partners, including regulatory, private gain, data protection, and policy aspects.
- Advise cross-functional stakeholders on collaboration, opportunities, issues, and risks related to charitable partnerships.
- Assist teams such as Endowment, Systems, and People & Culture with their legal needs, including drafting, negotiating, and agreeing documents.
- Lead on specific projects for individual or cross-directorate initiatives.
- Act as a business partner to Fundraising teams, advising on and supporting the drafting, negotiation, and review of fundraising agreements.
- Act as a business partner to the Endowment team, providing legal support for their activities.
- Act as Company Secretary for the Foundation’s three subsidiary companies.
- Advise colleagues on legal and governance matters.
- Undertake research into specific legal issues or best practices and provide training to Legal team colleagues.
- Organize and run training sessions on key legal and compliance issues for Foundation staff.
- Deputize for the Legal Director & Company Secretary when required.
Requirements
- Qualified, experienced solicitor (5-6 years PQE or equivalent)
- Experience in drafting and reviewing commercial contracts (Essential)
- Preparation of guidance notes and training materials (Essential)
- Sound knowledge of the law of England and Wales (Essential)
- Familiarity with commercial contracts and contract law (Essential)
- Experience in law and regulation within a fundraising environment (Highly Desirable)
- Experience in drafting and reviewing grant agreements (Desirable)
- Familiarity with the charity sector and charity law (Desirable)
- Some familiarity with health/social care/voluntary sector technical language and organisations (Desirable)
- Some familiarity with basic financial and grants related terms and concepts (Desirable)
