About the Role

This role supports attorneys in business formations, contract matters, and other legal issues, playing a vital part in serving clients and handling various legal tasks related to investment management.

Responsibilities

  • Assist attorneys in support of business formations and contract matters, including preparation of subscription documents, AML/KYC processes, investor intake and due diligence, and securities filings.
  • Prepare and handle Form D and state blue sky filings, as well as other related securities filings.
  • Assist in the preparation of legal documents by gathering information and drafting necessary paperwork for investors and sponsors during the investor intake and due diligence process.
  • Review, organize, and manage various business contracts and agreements, including partnership agreements, operating agreements, and subscription documents.
  • Use reference materials and perform basic legal research using a variety of resources.
  • Stay updated on changes in investment management rules and regulations to provide accurate support and assist in drafting client alerts.
  • Work closely with paralegals, legal assistants, and other attorneys as required.
  • Accurately track and record time billed on claim-related tasks, meeting monthly goals after initial training.
  • Assist attorneys with speeches and articles.
  • Attend CLE and courses to expand knowledge of substantive law.
  • Perform other related duties as needed or assigned.

Requirements

  • A bachelor’s degree or 2+ years of experience as a paralegal assisting with business matters.
  • Experience in the legal services industry.
  • ABA paralegal certificate.
  • Familiarity with effective administrative processes.
  • Ability to manage multiple tasks and deals simultaneously.
  • Must possess strong writing skills, with the ability to communicate clearly, logically, and grammatically.
  • Ability to conduct legal research and translate difficult concepts into simple terms.
  • Strong computer skills, including comfort with Microsoft Word and other Microsoft Office products.
  • Comfortable interacting and communicating with internal team members, clients, and court personnel.
  • Must be able to meet deadlines.
  • Excellent organizational skills.
  • Adept at working independently or collaboratively within a team.
  • Must be able to move around the office up to 15% of the time.
  • Remains stationary at least 75% of the time.
  • Constantly operates computers and other office productivity machines.
  • Occasionally required to move documents or files weighing up to 15 lbs.
  • Requires constant communication and exchange of information with Firm attorneys, clients, and staff.
  • Must be able to inspect and observe information on a computer screen at least 80% of the time.
