About the Role

This role will deliver company secretarial services to UK legal entities and internal governance committees, ensuring adherence to UK regulations and State Street governance policies. It involves leading corporate governance, acting as a strategic partner to the UK Board and Committees, and championing best practices across EMEA.

Responsibilities

  • Manage day-to-day governance requirements for UK boards and committees.
  • Develop strong working relationships with board and committee chairs and members.
  • Serve as the primary contact for governance and company secretarial matters.
  • Support the appointment and election process for board and committee members.
  • Contribute to meeting discussions and advise on legislative changes.
  • Oversee the scheduling, coordination, and operation of board and committee meetings.
  • Organize and prepare agendas and papers for meetings, maintaining records via Diligent Boardbooks.
  • Take minutes, follow up on actions, and manage the minute review process.
  • Provide a dedicated point of contact for all board and committee members.
  • Maintain an annual calendar of board and committee matters, ensuring compliance.
  • Lead board and committee effectiveness reviews.
  • Oversee the maintenance of statutory books and registers via Blueprint.
  • Oversee the preparation and submission of annual compliance statements and Companies House filings.
  • Oversee the filing of statutory accounts.
  • Prepare routine board resolutions.
  • Provide company information as required by business, auditors, and regulators.
  • Draft, maintain, and approve policies and procedures.
  • Handle correspondence, collate information, and write reports.
  • Prepare management information and key performance indicators.
  • Liaise with Control Functions.
  • Oversee periodic review and updating of CSO pages on the intranet.
  • Guide and advise junior members of the CSO.

Requirements

  • Understanding of the Finance Sector and the Financial Conduct Authority and the Prudential Regulatory Authority.
  • At least ten years of company secretarial experience in a financial institution.
  • Well-organized with attention to detail.
  • Ability to write concise and accurate minutes on a timely basis.
  • Ability to assimilate and handle a large volume of information.
  • Polished and effective communication skills with the ability to build consensus in a large and complex organization.
  • Strategic and systematic thinker with the ability to execute.
  • Independent thinker and comfortable taking ownership.
  • Comfortable speaking up and asking questions.
  • A self-motivated and goal-oriented individual.
  • A professional, supportive, and collegiate working manner.
  • Ability to operate seamlessly at multiple levels of the organization and to become a trusted advisor to key stakeholders.
  • Ability to operate both autonomously to drive a deliverable, as well as to work effectively as part of a global virtual team.
