About the Role
Join Alston & Bird’s nationally recognized Finance Practice Group and play a key role in sophisticated corporate and finance transactions. Our New York office is seeking a highly motivated Paralegal with 3+ years of experience to support a dynamic team of attorneys through all phases of complex corporate and finance matters.
Responsibilities
- Manage and assist with the closing of various transactions, including the preparation, coordination, and organization of closing sets.
- Collaborate with attorneys to draft and prepare legal documents related to asset purchase, structured finance, and securitization transactions.
- Prepare, coordinate, and manage Uniform Commercial Code (UCC) filings.
- Conduct legal research to ensure compliance with UCC requirements and state-specific regulations.
- Perform due diligence reviews, including examining the financial and legal backgrounds of parties involved in transactions.
- Maintain accurate and organized transaction records, track deadlines, and monitor filing requirements.
- Build strong relationships and serve as a liaison with clients, vendors, and other stakeholders.
- Proofread and perform quality control reviews of legal and transaction documents.
- Coordinate with attorneys to ensure critical deadlines and client expectations are consistently met.
- Support attorneys throughout all stages of corporate and finance transactions, including due diligence, closings, and post-closing activities.
Requirements
- 3+ years of experience
- Prior experience supporting corporate, structured finance, secured lending, or transactional practices is a plus.
- Professional business references and a background screening will be required for all final applicants selected for a position.
- Flexibility to work additional hours as needed to meet client and transaction deadlines.
