About the Role
We are seeking Corporate Governance Attorneys to work with some of our publicly-traded/Fortune 500 clients across multiple industries.
Responsibilities
- Advise on corporate governance, securities, and public company compliance matters, including SEC and stock exchange requirements.
- Support Board of Directors and committee activities, including preparing agendas, resolutions, minutes, and governance materials.
- Draft and review SEC filings and corporate disclosures, including proxy statements, Forms 10-K/10-Q/8-K, and Section 16 filings.
- Advise on governance policies, entity management, shareholder matters, and corporate transactions in partnership with legal and business teams.
Requirements
- 6+ years of legal experience focused on corporate governance, securities, and/or public company matters
- Experience advising on SEC reporting, securities regulations, Board governance, and corporate policies, preferably with public companies
- Prior in-house experience preferred, with experience partnering with senior executives, Boards, and cross-functional stakeholders
- Active attorney license in good standing with a U.S. state bar
