About the Role
As an Associate Corporate Counsel, you will play a crucial role in guiding the Canadian legal matters for a global infrastructure leader. You will provide expert legal advice on transactional and operational issues while collaborating closely with leadership to identify and mitigate potential legal risks.
Responsibilities
- Provide advice to division or district leadership team on contractual impact of proposed actions for various projects.
- Review project contract documents to identify and analyze legal risk related to the project.
- Work to mitigate and/or resolve risk to project or company.
- Draft project correspondence and negotiates agreements, including sub-contract agreements with designers and civil contractors, interface agreements, lenders’ direct agreements, and parent company guarantees.
- Work closely with JV partners and external counsel to negotiate deals, completes closing paperwork and closing books.
- Advise project stakeholders of potential disputes and recommends mitigation strategies.
- Provide training materials and sessions for project contracts working closely with corporate legal management and project leadership.
- Review and support submission requirements for all divisional Request for Proposals (RFP).
- Review contract changes to ensure specifications comply with project agreements made.
Requirements
- Juris Doctor or equivalent required.
- 1+ years’ experience of post-bar professional legal experience required.
- 3+ years’ experience in construction industry required.
- Excellent written and verbal English and French.
- Knowledge of construction JV and alternative delivery project contracts preferred.
- Knowledge of construction claims process from beginning to end preferred.
- Exceptional written and verbal communication and drafting skills.
- Analytical and proven problem-solving skills.
- High-integrity and able to maintain strict confidence with sensitive material and matters.
