About the Role

This role provides corporate secretarial and governance support to UK regulated entity boards and other subsidiaries within the Group, reporting to the Head of UK Corporate Secretariat as part of a high-performing team.

Responsibilities

  • Provide corporate secretarial support services for UK regulated entity boards and other subsidiaries.
  • Assist with the preparation of board meeting agendas, review papers, attend meetings, prepare minutes, manage minute reviews, and follow up on action items.
  • Own and maintain the team's Governance tracker.
  • Manage specific governance processes, including quarterly reviews of authorised signatory lists.
  • Support legal entity changes, including filings with Companies House and other overseas registries.
  • Manage the annual accounts process for subsidiaries.
  • Manage and respond to KYC and other information requests.
  • Assist in identifying and implementing process improvements for the team.
  • Utilize AI technology to enhance efficiency and support high-quality delivery.
  • Perform other assigned duties.

Requirements

  • Experience in a company secretarial/governance role.
  • Minute taking experience.
  • Knowledge of board processes and procedures.
  • Good verbal and written communication skills.
  • Ability to follow instructions and processes.
  • Good interpersonal skills, including the ability to work with cross-functional teams.
  • Strong organizational skills.
  • Strong attention to detail.
  • Understanding of regulatory obligations, regulated entity requirements, and JHI policies.
  • Willingness to adhere to the Investment Advisory Code of Ethics regarding personal securities activities and disclosure requirements.
  • Awareness of past political contributions and activities, which may impact eligibility.
