About the Role
Click Therapeutics is hiring a Corporate Counsel to join our Legal team, reporting directly to the Chief Legal Officer. This role will manage commercial contracting, including drafting, negotiation, and execution of agreements. The Corporate Counsel will also support the CLO in managing Click's privacy program and advise on emerging legal and regulatory questions around AI. This is an opportunity for an attorney ready to take on broad in-house responsibility and build something new.
Responsibilities
- Own the full commercial contract lifecycle, including drafting, reviewing, redlining, and negotiating NDAs, MSAs, SOWs, vendor and consulting agreements, and BAAs.
- Serve as the legal team's primary point of contact for commercial contract questions across Operations, IT, BD, and other business teams.
- Build and maintain contract templates, negotiation playbooks, and approval guardrails to standardize terms and speed up turnaround time on recurring agreement types.
- Support the CLO in managing Click's privacy program, including HIPAA compliance, state and international privacy law requirements, data processing agreements, and privacy impact assessments.
- Advise the business on emerging AI-related legal and regulatory questions, including reviewing AI vendor terms and use case implications.
- Support the CLO on corporate governance matters, policy development, and compliance initiatives as they arise.
- Coordinate with outside counsel on matters requiring specialized expertise.
- Conduct legal research on commercial, privacy, and AI-related topics to support business decision-making.
Requirements
- JD from an accredited law school and active bar membership in good standing (New York preferred).
- 3-5 years of relevant experience in commercial contracting, gained in-house or at a law firm; experience in digital health, life sciences, or SaaS is a plus.
- Demonstrated skill drafting and negotiating commercial agreements (NDAs, MSAs, SOWs, vendor and consulting agreements).
- Experience with, or strong interest in, privacy law (HIPAA, CCPA and other state privacy laws, GDPR); some prior privacy experience preferred.
- Curiosity about AI and its emerging legal and regulatory landscape.
- A self-starter mindset, comfortable owning matters from start to finish and managing a varied workload independently as part of a lean legal team.
- Strong business judgment and the ability to translate legal concepts into clear, practical guidance for non-lawyers.
- Excellent written and verbal communication skills.
- Seamlessly integrated AI into their professional workflow and personal productivity.
