About the Role
As General Counsel, you will own the legal function end-to-end, with a primary focus on contracts. You will draft and negotiate EPC agreements, OEM supply and service agreements, and power and data center agreements. You will also determine the allocation of work between in-house and outside counsel, and develop the necessary templates and contract systems for a GW-scale pipeline. This is a senior, hands-on role with the opportunity to build a team, working directly with founders and key leads.
Responsibilities
- Serve as lead drafter and negotiator of TAR’s EPC contracts.
- Draft notices to proceed and design/build agreements for data center facilities.
- Negotiate equipment purchase orders, OEM master service agreements, and long-term service agreements.
- Create standardized MSA and SOW templates and negotiate individual agreements.
- Negotiate PPAs, energy offtake agreements, and customer contracts.
- Manage outside counsel and co-own the contract management system.
- Draft letters of intent, MOUs, and handle site-control instruments.
- Manage long-tail legal work including project financing, M&A, disputes, insurance claims, patent filings, and policy positions.
Requirements
- Significant transactional legal experience, typically 10+ years, across a leading law firm and in-house roles in energy, infrastructure, or construction.
- JD and active membership in at least one US state bar.
- Deep drafting and negotiation track record with EPC or construction contracts for utility-scale energy or large infrastructure projects.
- Experience negotiating equipment supply agreements, MSAs and SOWs, and long-term service agreements with major OEMs or contractors.
- Working knowledge of PPAs, offtake structures, and project finance documentation.
- Judgment to run a lean legal function: draft fast, prioritize ruthlessly, and know what to keep in-house versus send to outside counsel.
