About the Role

Arch Capital Services LLC is seeking an experienced Corporate Paralegal to join our legal team. The Corporate Paralegal holds an important role on the General Counsel’s team supporting a global publicly-traded company respected as a leader in its industry.

Responsibilities

  • Provides broad-based legal support services for the General Counsel’s office.
  • Draft and manage minutes, resolutions, written consents, incumbency certificates, etc.
  • Assist with filing and maintaining entity corporate documentation using entity management platform (Diligent or similar), service of process records and state/regulatory filings, respond to requests regarding entities, directors and officers.
  • Assist with quarterly legal reports and quarterly audit rep letters.
  • Assist with preparation of board materials, including proficiency in using board management software such as Boardvantage.
  • Support the review of corporate agreements, M&A transactions, engagement letters, NDAs, policies, memos and other transactional documents.
  • Support and assist with the preparation and filing of SEC reports, including Forms 10-Q, 10-K, and 8-K and related tasks; maintain EDGAR Next credentials and annual confirmations.
  • Support vendor management reviews, third-party diligence and KYC requests.
  • Support records management and contract management.
  • Facilitate global signature requests, including arranging notary and apostille/authentication of documents as needed.
  • Coordinate meetings, attend meetings as requested, and assist with follow-up action items for legal projects.
  • Cross-functional collaboration with Finance, Tax, HR, IT and other stakeholders on a range of projects, including privacy, cybersecurity and AI governance.
  • Research topics and legislation as required.

Requirements

  • At least 3-5+ years’ experience working on corporate (non-litigation) matters at a major law firm and/or a legal department of a publicly traded company.
  • Self-starter with the ability to simultaneously manage many tasks and pivot from one project to another as requested.
  • Excellent communication (written and verbal), organization, and analytical skills with strong attention to detail.
  • Ability to work effectively with senior officers and directors on a regular basis.
  • Proficiency in Microsoft Office Applications and open to learning new technologies supporting the Legal team, including AI applications and tools.
