About the Role
This maternity leave contract position is based at Thomson Reuters' global headquarters in Toronto, focusing on corporate governance and corporate transactions within the General Counsel’s Office. It offers a diverse and challenging opportunity to collaborate with stakeholders across the organization on various legal matters.
Responsibilities
- Lead and coordinate subsidiary governance projects across multiple countries.
- Oversee and manage daily subsidiary governance activities for EMEA and other global entities.
- Draft and review corporate agreements, resolutions, and documentation.
- Support internal corporate restructurings and reorganizations.
- Assist with the preparation of public company and subsidiary board of directors and related committee materials.
- Coordinate subsidiary board meetings.
- Respond to information requests and manage corporate history records.
- Collaborate with various Corporate Departments (Tax, Treasury, HR, Accounting).
- Liaise with external legal counsel, advisors, and agents.
- Assist with legal analyses and documentation related to intercompany restructurings, intercompany agreements, and corporate housekeeping matters.
- Assist with legal aspects of public debt offerings and redemptions, banking/credit facility matters, share buyback programs, and other treasury matters.
- Assist with compliance with applicable Canadian and U.S. securities and stock exchange requirements.
- Draft and provide other legal support for incentive/equity compensation plans and agreements.
- Help with General Counsel’s Office special projects and initiatives.
- Manage outside counsel involved in certain transactions and projects.
- Perform other duties as assigned.
Requirements
- LL.B. or J.D. in good standing.
- Called to the Bar of a Canadian province.
- Membership in an applicable law society or bar association.
- At least 3 years' post qualification experience in private practice and/or as in house counsel.
- Licensed to practice law in Ontario.
- Minimum 3 years of legal experience, with experience in corporate governance.
- Strong knowledge of Canadian or foreign corporate law.
- Excellent organizational, communication, and project management skills.
- Ability to work independently and collaboratively in a global environment.
- Strong attention to detail and ability to manage multiple priorities.
