About the Role
Support the Governance function in delivering high-quality governance, company secretarial and entity management services across the InfraRed group, its regulated entities, investment structures and associated fund vehicles. Responsibilities include supporting key Boards, overseeing outsourced company secretarial providers, maintaining corporate records and governance systems, and ensuring compliance with statutory and regulatory obligations.
Responsibilities
- Provide board support to certain InfraRed group entities, including agenda setting, meeting pack reviews, minuting, and following up on action points.
- Plan and schedule board meetings.
- Provide company secretarial advice and guidance to the business.
- Manage filings of statutory forms and related corporate documentation.
- Support transactions, including acquisitions and disposals of assets, restructurings, refinancings, and new fund launches.
- Ensure each Committee’s terms of reference are up to date.
- Use electronic records via Diligent Boards and Entities, ensuring timely reports are generated.
- Prepare and file documents with Companies House to comply with statutory requirements.
- Ensure Diligent SFS (audit portal) is updated.
- Manage the internal accounts tracker for the Governance team, liaising with relevant finance teams.
- Complete internal corporate reporting in a timely manner.
- Respond to ‘Know Your Customer’ (KYC) requests and related information regarding beneficial ownership and anti-money laundering information requests.
- Attend to ad hoc queries relating to company secretariat issues.
- Manage and update corporate governance trackers.
- Produce structure charts from Diligent Entities.
- Manage UK incorporations and strike offs.
- Support and oversee outsourced company secretarial providers.
- Provide advisory support and practical guidance on corporate law and statutory filings.
- Ensure best practice corporate governance principles are implemented.
- Embed governance framework/policies, undertake ad-hoc projects, and perform general administration duties.
Requirements
- Proven experience in a similar industry is beneficial.
- Able to research issues and propose practical solutions.
- Experience in delivering quality written reports and minutes with excellent attention to detail.
- Well organised and able to prioritise multiple tasks to tight deadlines.
- Excellent administration skills.
- Confident in engaging with people at all levels across the business.
- Commercially aware professional, maintaining discretion and confidentiality.
- Willingness to learn and develop new skills / flexible with a ‘can do’ approach.
- Practical experience of company filings for example, dividends, capital reduction, allotments, share transfers, director appointments, etc.
- Good working knowledge of the Companies Act 2006.
Skills
- Chartered Governance Institute qualification exams (qualified or studying for)
- Excellent knowledge of Diligent Entities
- Enthusiastic, bright individual who is a team player and good at multi-tasking
