About the Role
Join LaSalle’s sophisticated Global Funds Team (GFT) as a Legal Counsel, reporting to the Global Funds Counsel. This role supports product development, fund structuring, and fundraising across existing and new LaSalle products, acting as a trusted partner by combining legal expertise with a commercial approach.
Responsibilities
- Cooperate with Marketing, IR, fund teams, and Research to develop new fund products.
- Create and manage overviews/databanks for fund key terms, IR client feedback, and legal/market know-how.
- Anticipate market developments from legal and regulatory changes, educating business teams and developing product ideas.
- Lead the drafting and agreement of term sheets and structure charts.
- Set up project plans and timelines for fund formation.
- Advise business teams on fund structures based on target investors and asset jurisdictions.
- Advise fund teams on SFDR/SFDR2 categorizations and LaSalle Net Zero Pathway.
- Advise and support Marketing and IR with the creation of global marketing products.
- Draft and review the legal sections of INREV DDQ and Investor DDQs.
- Lead project management for fund formation and launch.
- Lead the preparation and review of key legal documents (term sheets, PPM, LPA, Subscription documents).
- Support fund structure setup with regional legal teams and external service providers.
- Coordinate fund launch activities with internal and external parties.
- Lead and organize investor negotiations, including side letters and LPA amendments.
- Coordinate the investor onboarding process with tax, compliance, and investor services teams.
- Support disclosure documents (preferential treatment).
- Coordinate fund and mandate closings, including resolutions and board meetings.
- Coordinate the MFN process and review the MFN Booklet.
- Advise on the application of new legislation and regulations, implementing changes across fund documentation.
- Support restructuring of existing funds due to market, regulatory, or tax changes.
- Advise fund managers on queries regarding the ongoing operation of LaSalle products.
- Serve as an internal resource for legal queries and house standard terms.
- Assist with service provider agreements, including distribution agreements.
- Advise the employee co-investment team on legal and regulatory aspects.
- Manage new offerings under the employee co-investment program.
- Assist with periodic transfers, redemptions, and subscriptions for co-investment programs.
- Assist with the issuance of carried interest or team share points.
- Build strong relationships with and manage LaSalle’s panel of outside counsel.
- Ensure timelines and budgets are met by external counsel.
- Utilize LaSalle’s precedent documents and consider market best practices in drafting.
Requirements
- Four to six years of experience as a funds lawyer in-house or at an international law firm.
- Private equity, credit, and/or real estate funds experience required.
- Strong experience with fund structures for equity and debt funds (Luxembourg and offshore).
- High familiarity with key fund terms and industry issues.
- Strong project management and communication skills.
- Good working knowledge of the regulatory framework relating to investment management.
- Comprehensive knowledge of the AIFMD framework, including AIFM operational requirements, marketing of investment funds, and AIFMD II amendments.
- Good understanding of SFDR (Articles 6, 8, 9, Annex II, Annex IV, PPM sections, Art. 10 Website disclosures) and other global sustainability disclosure regimes.
- Good understanding of proposed SFDR2 legislation.
- Working knowledge of U.S. securities laws and regulations for institutional real estate funds.
- Familiarity with SEC registration and exemption requirements for private funds is desirable.
- Understanding of U.S. and EU retail fund products.
- High-level knowledge of distinctions between institutional and retail fundraising requirements in the U.S.
- Helpful to have knowledge of semi-liquid and retail-focused fund products in EU/UK.
- Good working knowledge of global marketing rules across several jurisdictions.
- Excellent collaboration and confident stakeholder management skills.
- Ability to develop and maintain strong professional relationships.

- Ability to assess and analyze complex legal issues.
- Ability to capture, contribute to, and disseminate lessons learned and best practices.
