About the Role

As Senior Corporate Counsel, you will be ODAIA's first dedicated legal hire, responsible for building the legal function from the ground up. This role requires a commercially minded lawyer to manage the intersection of legal risk and commercial velocity, including negotiating enterprise agreements, translating AI-governance obligations, and building internal policies and playbooks.

Responsibilities

  • Work closely with the CFO, Chief Commercial Officer, and sales leaders to manage complex negotiations with enterprise customers and strategic partners, balancing risk against speed.
  • Draft, negotiate, and close enterprise SaaS, data licensing, MSA, and DPA agreements with pharma customers.
  • Build templates and playbooks to enable scalable contracting.
  • Act as a liaison between Legal and Engineering, reviewing technical specifications and contracts to identify risks.
  • Translate AI-related obligations into concrete internal action items.
  • Manage emerging obligations from signed contracts, including export-control and restricted-party frameworks.
  • Architect the broader privacy and data-governance program across various regulations and AI-governance frameworks.
  • Autonomously manage board resolutions, equity plan administration, IP assignment, insurance, and vendor agreements.
  • Determine when to engage outside counsel.
  • Partner closely with Sales, Revenue Operations, Technology, and Business Acceleration teams to flag risk and expedite reviews and negotiations.
  • Represent ODAIA directly with external procurement teams.
  • Contribute to the legal and risk narrative for the executive team and Board, providing updates that drive strategic discussion.

Requirements

  • 8+ years of relevant experience.
  • J.D. or LL.B. and good standing with a Canadian provincial bar.
  • Familiarity with AI, machine learning, or legal technology sectors.
  • Strong drafting and negotiation skills, particularly with commercial agreements (MSAs, order forms, DPAs, NDAs).
  • Ability to redline, iterate, and provide clear recommendations with minimal guidance.
  • Excellent communication skills, with the ability to explain legal concepts clearly to non-legal stakeholders.
  • A technical or engineering background, or strong fluency working with engineering teams, is a plus.
  • Builder mentality: enjoy creating playbooks and systems, and are drawn to operational, non-legal work as much as legal drafting.
  • Strong communicator capable of explaining the 'why' behind a risk collaboratively and building a business case.
  • Self-starter who thrives in a fast-paced, variable-intensity environment.
  • Ability to manage multiple high-stakes, confidential matters simultaneously.
