About the Role
McGraw Hill is seeking a Corporate Paralegal to support the in-house legal department and the corporation on matters of corporate governance, regulatory compliance, public company work, and corporate housekeeping.
Responsibilities
- Manage corporate secretarial matters with the global corporate secretarial service provider, outside counsel, and business units.
- Handle corporate housekeeping for over 30 subsidiaries and branch offices, including entity lists, organizational charts, director/officer rosters, resolutions, powers of attorney, and notarizations/legalizations.
- Prepare state political disclosure forms, vendor/conflict of interest questionnaires, and ownership reports for RFPs and vendor invoicing.
- Assist with trademark and domain name registrations in collaboration with business units and outside counsel.
- Manage the Legal Mailbox.
- Respond to Services of Process.
Requirements
- Bachelor's degree required; bachelor's degree in a relevant discipline preferred.
- Minimum of 3 years of relevant professional work experience.
- Willingness to become a commissioned Notary Public promptly upon hire if not already commissioned.
- Corporate governance experience at a publicly traded company preferred.
- Current commission as a Notary Public preferred.
- Residency in New York, New York preferred.
