About the Role

This role involves drafting, reviewing, and negotiating a variety of agreements related to asset management and private credit transactions, providing legal advice on structured credit matters, and assisting with ad-hoc legal projects and regulatory analysis.

Responsibilities

  • Draft, review, and negotiate agreements including master participation agreements, credit agreements, collateral documents, subscription documents, NDA’s, side letters, and fund documentation.
  • Provide legal advice and support regarding structured credit matters and investments.
  • Perform legal analysis of risks associated with agreement terms and conditions and communicate effectively to the business.
  • Assist with ad-hoc legal projects, review of marketing materials, and policies and procedures.
  • Provide advice and counsel to business teams on legal matters affecting the business.
  • Research, advise, and assist in the structuring, regulatory analysis, and launch of new products.
  • Interpret and assist with the implementation of regulatory changes (US and international) impacting asset management.

Requirements

  • Must have strong contract drafting and negotiation skills across a wide range of complex private credit transactional agreements.
  • Ability to work independently, multi-task, and manage numerous projects simultaneously under tight deadlines.
  • Ability to work independently in a fast-paced environment and respond proactively to business needs.
  • Team player with strong organizational and time management skills to prioritize complex and time-sensitive projects.

Skills

  • Proficiency and extensive knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, the Investment Advisers Act of 1940, and other regulations tied to the asset management space.
  • Excellent communication and interpersonal skills.
  • High comfort level interacting effectively with all levels of staff and management.

Experience Level

  • At least 5 years’ experience working in the financial services industry either in-house or within a law firm with emphasis on private credit transactions.

Education Level

  • Law Degree /Juris Doctor

Salary/Compensations

  • $175K and $225K/year
