About the Role

This position will provide entity management and corporate transactional, governance, and secretarial services for Pattern’s 400 plus subsidiaries, reporting to the Senior Manager, Corporate Governance.

Responsibilities

  • Support the corporate secretary and governance function for all domestic and foreign (non-US) subsidiaries by drafting resolutions and minutes for officer/director elections, banking updates, and other required approvals.
  • Prepare documents for mergers, dissolutions, entity changes, formations, and qualifications/withdrawals in foreign jurisdictions.
  • Draft and maintain powers of attorney and register entity branches.
  • Complete annual filings and amendments to corporate organizational documents, ensuring timely governmental filings and regulatory compliance.
  • Maintain minute books and records for all subsidiaries and joint venture entities.
  • Create and provide legal entity organization charts and periodic reports to internal and external parties.
  • Serve as a primary contact for corporate information, liaising with Finance, Tax, Treasury, auditors, counsel, and government agencies.
  • Provide corporate secretarial and governance support for bank account authorizations, intercompany dividends, capital contributions/reductions, subsidiary reorganizations, guarantees, intercompany transactions, promissory notes, and intercompany loans.
  • Assist with the execution of tax step plans for entity establishment/restructuring and intercompany transactions.
  • Draft, review, and manage filings for internal restructuring documentation, closings, and acquisitions.
  • Support due diligence and provide KYC information and documents for bank account openings and treasury transactions.
  • Perform administrative duties including document distribution, maintaining legal and policy documentation records, legal vendor management, and reviewing invoices for annual subsidiary registration.
  • Maintain accurate entity data in SharePoint legal archives and CT Advantage hCue database.
  • Ensure compliance with records retention policy and maintain working knowledge of company policies and legislation.
  • Manage relationships with corporate registered agents and external counsel globally, facilitating apostille and legalization processes.
  • Review and approve invoices from registered agents and external counsel.
  • Research and respond to inquiries concerning the company and its subsidiaries from other Legal Department sections.

Requirements

  • Minimum of eight (8) years of corporate paralegal experience in a public corporation, private company, or law firm.
  • Minimum of five (5) years of hands-on entity management experience (managing a portfolio of at least 200 U.S. and non-U.S. subsidiaries).
  • Proven hands-on Canadian entity management experience.
  • Stable work history.
  • Current Notary Certification/License.
  • Exceptional verbal and written communication skills.
  • Detail-oriented with strong attention to accuracy.
  • Exceptional interpersonal and organizational skills.
  • Ability to interact effectively with individuals at all levels of the organization.
  • Ability to work independently while contributing as part of a highly integrated team.
  • Ability to multitask and provide consistent, accurate deliverables in a fast-paced environment.
  • Must possess high ethical and professional standards and maintain confidential and proprietary information.
  • Must be able to work under pressure, manage time effectively, and work with minimal supervision.
  • Must be proactive in identifying and responding to client needs and opportunities.

Salary/Compensations

  • $90,000 - $120,000 USD
