About the Role

PWP’s Capital Markets Advisory team provides independent advice to clients navigating complex financing markets. The team collaborates with sector coverage bankers and clients on originating, structuring, and executing financings for M&A and other initiatives. The new team member will report to the Head of Capital Markets Advisory and is expected to have a strong credit background, an entrepreneurial mindset, and the ability to work effectively within a lean, cross-functional team.

Responsibilities

Prepare client discussion materials by organizing information from various sources.
Provide transaction execution leadership and process management for capital markets advisory assignments across sectors.
Lead junior team members in creating analyses such as debt comparables, credit agreement reviews, covenant comparisons, cash flow modeling, and precedent financing analyses.
Lead the due diligence process for potential private placements, including analyzing cash flows, asset values, corporate structure, and management team quality.
Assist and lead deal teams in developing financial projections, data rooms, and materials like Confidential Information Memoranda, management presentations, and board presentations.
Lead the negotiation and comparison of term sheets relative to peer financings.
Participate in deal origination and client marketing efforts, including idea development to win mandates.
Recruit, manage, train, and develop junior resources.
Engage in continuous learning and enjoy the work.

Requirements

At least 5 years of investment banking or financial advisory experience in capital markets advisory, leveraged finance, private credit, or related financing market advisory roles.
Strong credit background.
Entrepreneurial mindset.
Willingness to work as part of a lean team.
Willingness to work cross-functionally with all industry sector teams.

Experience Level

Senior Associate or Junior Director

Salary/Compensations

$185,000 - $275,000
