About the Role
Ramp is seeking an Associate Counsel, Commercial to join its Legal team. This role will partner with Sales, Partnerships, Procurement, and other cross-functional teams to review and negotiate commercial agreements, provide legal guidance, and develop scalable processes. It's an opportunity for an attorney to grow as a business partner in a fast-paced, high-growth environment, leveraging AI and technology.
Responsibilities
- Review, draft, and negotiate a variety of commercial agreements, including customer agreements, procurement agreements, partnership agreements, and vendor contracts.
- Partner closely with Sales, Partnerships, Procurement, Security, and other cross-functional teams to provide practical legal advice throughout the deal process.
- Identify legal risks and recommend commercially reasonable solutions that support business objectives.
- Help improve the efficiency of contract negotiations by contributing to legal playbooks, templates, and standard contractual language.
- Support initiatives to streamline legal workflows, including leveraging AI tools and automation where appropriate.
- Assist with training internal stakeholders on contracting best practices and company legal positions.
- Contribute to process improvements that help the Legal team scale alongside the business.
Requirements
- J.D. from an ABA-accredited law school.
- Licensed to practice law in at least one U.S. jurisdiction.
- 3–5 years of legal experience, including experience reviewing and negotiating technology, SaaS, data processing, or other commercial agreements.
- Strong written and verbal communication skills with the ability to explain legal concepts clearly to business partners.
- Sound judgment and the ability to balance legal risk with business objectives.
- Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
- A collaborative mindset and willingness to learn from teammates while taking ownership of your work.
- Interest in using AI and technology to improve legal workflows and team efficiency.
