About the Role
La Fosse is seeking an experienced and independent Chair to lead the Board of its Employee Ownership Trust. This role is crucial for protecting the interests of employee beneficiaries as the company enters its next growth phase and prepares for a future liquidity event. The Chair will provide objective leadership, ensuring the Trust remains independent from company management while maintaining a constructive relationship with the Executive Board. The core principle is that the Trust owns the business but does not run it.
Responsibilities
- Lead an effective and independent Trust Board, chairing meetings, setting agendas, and ensuring informed decisions.
- Bring an independent external perspective to the Board, ensuring objective action in the best interests of employee beneficiaries.
- Hold the casting vote in case of tied Trust Board votes.
- Ensure the Trust safeguards the long-term interests of La Fosse’s employee owners.
- Facilitate employee feedback and sentiment translating into meaningful influence at the Trust Board level.
- Consider reports and requests from the Employee Panel or Council, ensuring significant employee issues are represented.
- Provide credible, constructive challenge to the Executive Board regarding decisions impacting employee beneficiaries.
- Oversee the Trust Board’s shareholder responsibilities, including reviewing reserved matters, director appointments, strategic decisions, trading updates, and financial monitoring.
- Maintain a clear distinction between shareholder oversight and operational management.
- Ensure the Trust Board operates in accordance with governing documents and legal requirements.
- Ensure meetings are properly constituted, decisions are recorded accurately, and conflicts of interest are managed.
- Protect the Trust from structural, regulatory, or governance risks.
Requirements
- Significant board-level experience.
- Sound judgement and the confidence to challenge senior leaders constructively.
- Previous experience as a Board Chair, Senior Independent Director, Experienced Non-Executive Director, or Trustee/adviser within an employee-owned organisation.
- Strong understanding of fiduciary responsibilities, shareholder governance, and the role of an independent board.
- Genuinely independent from La Fosse, its founder, and current Trust Directors.
- No current or recent role as an owner, director, or employee of La Fosse.
- UK tax resident, as required of all Trustees.
