About the Role

We are looking for an experienced CoSec to join our dynamic Governance Team. You will take the lead on a varied portfolio of listed clients, shape team strategy, develop junior colleagues, and make a difference to our business as it grows.

Responsibilities

  • Deliver a high-quality company secretarial service to a portfolio of clients, with support from junior team members.
  • Plan and deliver the annual Board and Committee meeting cycle.
  • Manage end-to-end delivery of AGMs and other general meetings, including drafting and advising on the content of the Notice of Meeting.
  • Update clients on changes in the governance landscape and support required actions.
  • Advise on corporate governance code application and disclosures.
  • Review and/or draft corporate governance sections of annual reports.
  • Oversee MAR records and provide practical, 'in the moment' compliance advice.
  • Lead on AIM Rule 26 compliance and website governance content.
  • Advise on RNS announcements.
  • Oversee maintenance of statutory books and registers.
  • Provide day-to-day corporate governance advice and support.
  • Build trusted relationships with clients and the wider plc community.
  • Engage in a range of projects and other work, which could include M&A and other corporate transactions, establishing governance structures for IPOs, delivery of Board performance evaluation services, director training, and share options administration.

Requirements

  • Be a confident, clear, and personable governance professional with listed company experience.
  • Demonstrate strong judgment, a proactive approach, and pride in delivering a first-class service.
  • Possess at least 4 years of relevant company secretarial experience.
  • Have 3+ years of listed PLC experience.
  • Possess strong Board/Committee support experience, including high-quality minute-taking.
  • Have a sound understanding of corporate governance structures, issues, and reporting.
  • Possess good working knowledge of MAR.
  • Have strong statutory compliance skills.
  • Exhibit excellent attention to detail, ability to prioritize effectively, and delegate with confidence.
  • Possess clear written and verbal communication and presentation skills.
  • Be a collaborative team player with the interpersonal skills to manage and develop junior staff.
  • Be willing to travel within the UK for client meetings when needed.
  • Show interest in business development and brand-building activities.
  • Exhibit high integrity and discretion.
