About the Role
This dynamic team delivers company secretarial services and client relationship management for client companies with underlying assets including Loan Portfolios, asset-backed securities, real estate transactions, and restructuring. The Company Secretarial Analyst supports the team in the day-to-day management of transactions, providing essential company secretarial support.
Responsibilities
- Supports Company Secretarial Managers in performing the company secretarial role for client entities, ensuring statutory, legal, and transactional obligations are met and maintaining good corporate governance.
- Maintains statutory filings, files forms with Companies House, incorporates new companies, and drafts constitutional documents.
- Organizes, convenes (including preparing board packs), and attends client board, investor, and committee meetings.
- Supports the Company Secretarial Manager with drafting live minutes and action point lists from meetings and circulates them to clients promptly.
- Ensures the good legal standing of all client entities under management throughout their lifecycle.
- Supports Company Secretarial Managers in managing a portfolio of companies involved in various transactions, including operational companies, structured finance, private credit, restructuring, and real estate financing.
- Communicates and coordinates with clients and all internal and external parties on transactions within the allocated portfolio.
- Promotes a client service-oriented culture by providing timely responses, personal attention, and complaint follow-up, monitoring professionalism in communication.
- Drafts CSC services agreements, fee letters, and ancillary documents.
- Completes bank account opening forms and provides KYC information.
- Supports managers in the proper handling of transactions, including incorporation, on-boarding, regulatory license applications, and document execution.
- Ensures the accurate and timely completion of internal processes and procedures for all transactions in the allocated portfolio.
- Updates the internal database with information on entities and transactions being managed.
- Attends legal training sessions relevant to the industry.
- Provides high-quality service to clients by responding to phone calls and emails swiftly and professionally.
- Ensures the quality of client files is high regarding completeness and accuracy, in accordance with filing processes and procedures.
- Adheres to the CSC client acceptance process and procedures and executes periodic reviews of client files for ongoing compliance.
- Actively monitors transactions under management.
- Ensures all client entities comply with relevant regulations, including Market Abuse Regulations.
- Submits time recording on a timely basis to ensure appropriate chargeability and proper invoicing of chargeable work.
- Submits fixed fees and expenses correctly and in a timely manner.
- Supports the team with opening and filing post, arranging couriers, and filings.
Requirements
- Experience in company secretarial, corporate governance, transaction administration, or professional services (e.g., corporate services, legal services, financial services).
- Working knowledge of UK statutory filing obligations and practical experience with Companies House submissions and corporate record maintenance.
- Experience supporting transactions and coordinating multiple stakeholders (clients, internal teams, lawyers, banks, and other intermediaries).
- Strong drafting and documentation skills, including meeting materials, minutes, resolutions, and engagement documentation.
- High attention to detail with the ability to manage competing deadlines across a portfolio.
- Proficiency with standard business systems (e.g., Microsoft Office) and confidence maintaining data accurately in internal databases/workflow tools.
- Clear, professional communication skills (written and verbal) with a client-service mindset.
- Understanding of compliance concepts such as KYC/client due diligence and file quality standards.
