About the Role

This position is for a transactional attorney with strong commercial and some corporate law background. The role will report to the Associate General Counsel and will be primarily responsible for preparing, negotiating, and controlling corporate contracts, assisting with compliance matters, and supporting mergers and acquisition activity.

Responsibilities

• Prepares and/or reviews contracts involving various substantive areas of law, including commercial, real estate, compliance, licensing, and employment documents.
• Provides corporate governance advice to the organization, including preparation of policies.
• Assists in the company’s acquisition activity, primarily due diligence.
• Enhances the effectiveness of the legal department through participation in staff meetings, training, and positive interaction with internal and external clients.
• Demonstrates an understanding of the company’s business strategy.
• Is responsible for foreseeing and protecting the company against legal risks.

Requirements

• Must be able to read, analyze, and interpret complex documents.
• Must possess a wide degree of creativity and latitude.
• Must have good communication and interpersonal skills.
• Must be a self-starter with good business sense and a sense of urgency, honesty, and fairness.
• Must have the ability to respond effectively to the most sensitive inquiries or complaints.
• Experience with a variety of contract types (e.g., commercial, real estate, and distributor/rep).
