About the Role

Pantheon is seeking an individual to join its Infrastructure Investment Team, focusing on the structuring, negotiation, and execution of infrastructure secondary transactions. This role involves managing the closing of all investments across the Pantheon infrastructure platform, including primary fund investments, secondary transactions, and co-investments. The position requires coordinating all aspects of transaction execution, managing legal document negotiations, and ensuring timely and accurate process adherence.

Responsibilities

  • Lead execution of any investment type, including complex transactions involving fund restructurings, single company secondaries, and innovative structures.
  • Negotiate all legal documents governing Pantheon transactions, including term sheets, SPAs, LPAs, framework agreements, shareholder agreements, side letters, and ancillary documentation.
  • Collaborate with treasury and investment professionals on the execution of deal-level debt transactions, advising on debt terms and negotiating facility documents.
  • Structure investments to accommodate the tax characteristics of participating clients and minimize tax leakage.
  • Execute sales of fund interests on both portfolio and single-fund bases.
  • Serve as a resource for global investment professionals in resolving complex structuring challenges.
  • Ensure compliance with Pantheon’s investor restrictions across the platform.
  • Review client legal documentation to comment on strategy feasibility, investment restrictions, and legal requests, devising processes to meet client needs.
  • Identify and sponsor improvements to Pantheon’s closing and operational processes, representing the team on internal committees and supervising major internal projects.
  • Work with operations, treasury, finance, tax, legal, and other back-office functions to improve investment processes.
  • Complete training for structuring and investment teams on key deal execution areas.
  • Ensure deals are funded on time and without errors.
  • Ensure compliance with investment processes for AML/KYC, NDAs, Access administration, deal approvals, closing notices, legal checklists, and regulatory approvals.
  • Ensure compliance with relevant laws, regulations, and Pantheon policy, including reporting compliance risks and maintaining appropriate standards of conduct.

Requirements

  • Qualified lawyer/attorney permitted to practice law in any recognized jurisdiction.
  • At least six years of prior experience in a law firm or in-house environment executing private markets transactions, including direct private equity, private M&A, or fund investments (primary, secondary, co-investments).
  • Substantial prior experience negotiating transaction documents such as sale and purchase agreements, framework agreements, transfer documents, joint venture/partnership documents (LPAs, shareholders’ agreements, side letters).
  • Ability to work across jurisdictions and time zones with different cultures and negotiating styles.
  • High degree of attention to detail and accuracy.
  • Highly organized with strong project management skills and exceptional responsiveness.
  • Ability to manage multiple workstreams and transactions simultaneously.
  • Ability to work well in a team and supervise junior team members.
  • High level of professionalism, confidentiality, discretion, and judgment.
  • Excellent written and verbal communication skills.
  • Computer literacy, including excellent working knowledge of Microsoft Excel, Word, and PowerPoint.
  • Ability to manage and prioritize workloads.
  • Ability to work to tight deadlines/under pressure.
