About the Role

You will be the primary point of ownership for Indeed's global corporate governance function, managing legal entity compliance and corporate governance for a global portfolio of Indeed entities. This role requires someone highly organized, a go-to expert, comfortable juggling multiple deadlines across time zones, and handling confidential corporate information with discretion.

Responsibilities

  • Own entity management for a global portfolio of entities, maintaining accurate records in our entity management system and serving as the platform administrator.
  • Coordinate new entity formations, registrations, restructurings, and dissolutions in partnership with outside counsel and registered agents.
  • Manage annual report and business license filing process in collaboration with outside filing agents, review pre-filing summaries, and resolve any gaps or missing information.
  • Prepare and route board and committee meeting minutes, resolutions, and consents for approval, and maintain the official corporate record and annual board calendar.
  • Own delegation of authority matrix and signature routing and execution for directors and senior leadership, following established authorization and signatory processes across jurisdictions.
  • Facilitate notarization, apostille, and legalization requests across the company, coordinating with executive assistants, directors, and other internal partners.
  • Triage and resolve requests submitted through the Corporate Governance queue, prioritizing time-sensitive matters.
  • Partner with Tax, Finance, and business teams on entity-related projects.
  • Manage the day-to-day relationship with third-party service providers and outside counsel across international entities.
  • Own the compliance and filing calendar with proactive reminders.
  • Oversee document centralization, migrating historical governance records into our platform and maintaining naming, access, and retention standards.

Requirements

  • Requires a minimum of 14 years of related experience; or a minimum of 12 years with a Bachelor’s degree; or 8 years and a Master’s degree; or a PhD with 5 years experience.
  • Proven experience autonomously owning corporate governance and entity management operations for a multinational organization, with minimal day-to-day oversight.
  • Proficient process-design orientation experience building templates, playbooks, and workflows that scale a lean legal function, rather than following existing processes.
  • Comfortable managing outside counsel and vendor relationships across multiple international jurisdictions, including triaging work between in-house, outside counsel, and third-party services providers.
  • Exceptional organizational skills and exceptional attention to detail, with the ability to manage a high volume of concurrent deadlines across multiple jurisdictions.
  • Clear written and verbal communication skills, including experience drafting board minutes, resolutions, and corporate correspondence, and communicating comfortably with senior leadership.
  • Collaborative mindset, with experience partnering across Legal, Tax, Finance, and external service providers such as registered agents, notaries, and outside counsel.
